David Nisbet is a partner in the Tax Strategy & Benefits Practice and has a wealth of experience advising on the tax aspects of a wide range of UK and international transactional and advisory matters. He has a particular focus on structuring funds and private equity transactions for financial sponsors and senior management teams.

David is a chartered tax adviser and is recognised in The Legal 500 UK for his “excellent knowledge” of the industry. He also gained experience as an in-house tax counsel while on secondment to a private equity fund in Luxembourg.

  • Advising numerous private equity funds on acquisitions, reorganisations, refinancings, management incentive arrangements and exits, and the tax efficient structuring of such transactions.
  • Advising the senior fund managers of a UK private equity fund on their complex carried interest arrangements.
  • Advising on the formation of a private equity fund targeting UK and European investments.
  • Advising on the formation of a private equity fund targeting investments in small and medium-sized enterprises (SMEs) in southern Africa.
  • Advising on the formation of a £100 million-plus real estate fund targeting regional commercial real estate development opportunities in the UK.
  • Advising numerous senior management teams on the personal tax implications of private equity-backed management buyouts and related transactions, including advising the senior management team of a UK business on the £1 billion-plus merger with a German business.
