Katiuska Ortega Rodríguez focuses her practice on corporate law, contracts, tax matters and energy regulation. She represents clients in structuring and negotiating contracts, as well as in general transactional matters, such as acquisitions, asset sales, joint ventures and corporate reorganizations.

She assists local and foreign clients in complying with their corporate, labor, tax and regulatory obligations in accordance with local legislation. Likewise, Katiuska assists clients in the development of energy generation projects in the Dominican Republic, including designing legal, corporate and contractual structures that ensure an ideal operational strategy for the successful development of these projects.

  • Advised F&S Solar Concept GmbH, a leader in renewable energy, in the sale of the shares of a special-purpose vehicle with the rights to develop a solar energy project in the Dominican Republic to Acciona Energia Global, S.L., a global leader in the energy sector.
  • Represented Grupo Premier Enterprises Corporation in the acquisition of all the assets (including movable and real estate property) required for the operation of the fuel terminal named “Energas” located in San Pedro de Macoris, Dominican Republic.
  • Acting as Dominican counsel to a major US investment bank in the refinancing of a secure credit facility in an aggregate amount of US$615 million granted to a leading electronic transactions and technology company in Latin America and the Caribbean.
  • Acting as Dominican counsel to a major US investment bank in the structuring of secure credit financing in the aggregate amount of US$220 million provided to finance the development of a natural gas fueled energy generation project with at least of 200MW of installed capacity based in the Dominican Republic.
  • Assisting local and foreign clients in the incorporation of corporate vehicles and establishment of foreign branches, as well as the corporate upkeep of said companies, including corporate, fiscal, labor, contractual and regulatory matters.
  • Participating in due diligence procedures in anticipation of corporate reorganization processes, such as mergers, acquisitions and joint ventures, including the sale of shares and other assets in the Dominican Republic.
  • Advising local and foreign clients on corporate, tax, labor, intellectual property, consumer law, personal data protection, distribution and franchise matters in the Dominican Republic.
  • Representing clients in sanitary registration processes for food, cosmetics and personal and household hygiene products before the Ministry of Public Health of the Dominican Republic.
  • Assisting foreign and local airlines in the application and processing of operating permits and special permits before the authorities of the Dominican Republic, as well as other requirements established by the local legislation.
  • Providing legal advice for the incorporation and amendment of national nonprofit organizations, as well as the registration of delegations of foreign nonprofit organizations.
  • Assisting local and foreign clients in obtaining operating permits as free trade zone companies in the Dominican Republic, as well as in the closing of said companies before the corresponding local authorities.
  • Advising local and foreign clients regarding the tax implications and tax treatment applicable to both domestic and cross-border transactions.
  • Participating in dispute resolution processes with the Dominican Tax Authority and Dominican Customs Authority, as well as the filing of recourses before such institutions in the Dominican Republic.
