Alix Poole is an associate in our Corporate Practice Group, providing contentious and non-contentious advice to public sector and private clients on construction, energy, natural resources and infrastructure projects. Her experience also includes advising on large, complex disputes arising out of major construction projects.

Alix also has experience advising listed and unlisted corporations in connection with mergers and acquisitions, joint venture arrangements, asset acquisitions and divestments, capital markets transactions (including IPOs, rights issues and placements), as well as corporate governance and regulatory matters.

In 2023, Alix transferred from Perth to the Tokyo office, and is currently on secondment at a leading Japanese trading company, assisting on a range of domestic and international transactions.

Non-contentious

  • Drafting suites of contracts, including design and construct contracts, consultancy contracts, including engineering, procurement and construction management (EPCM) contracts, equipment supply contracts and major and minor works agreements.
  • Providing high-level review and advice in relation to (engineering, procurement and construction) EPC, design and construct, construct only, and equipment supply contracts, including allocation of risk, consequential loss, caps on liability, indemnity provisions, variations and liquidated damages.
  • Advising clients in relation to defective work issues arising under construction contracts.
  • Assisting with due diligence on proposed and established projects, including with respect to a project financing of a portfolio of renewable energy power stations in Australia.

Contentious

  • Acted for clients in relation to arbitration proceedings under the ICC Rules in Singapore arising out of the AU$65 billion Ichthys LNG project.
  • Acted for a Chinese state-owned entity in its dispute with a contractor arising out of the AU$11 billion Roy Hill iron ore project under UNCITRAL Rules in Singapore.
  • Acted for various clients in relation to adjudication applications under the Construction Contracts Act 2004 and the Building and Construction Industry (Security of Payment) Act 2021 in Western Australia.

Corporate

  • Acting for ITOCHU Iron Ore Australia, a subsidiary of ITOCHU Corporation, in connection with the acquisition of a partial interest in the Western Ridge iron ore project owned by BHP.
  • Acted for Roy Hill Station Pty Ltd. in the sale of a pastoral lease and a parcel of freehold land known as “Roy Hill Station” to Gina Rinehart’s Roy Hill Iron Ore Pty Ltd. The transaction included the sale of approximately 6,000 head of cattle, as well as other pastoral equipment.
  • Acted for a consortium in relation to the acquisition of the Midland Brick business from ASX-listed company Boral Limited for AU$80million.
  • Acted for a private equity firm in relation to the divestment of an interest in a Northern Territory mining asset.
  • Advised on the AU$6 million IPO and ASX listing of medical imaging software developer, Singular Health Group Ltd.
  • Acted for ASX-listed Sezzle Inc. in relation to its AU$86.3 million capital raising by way of a fully underwritten institutional placement and security purchase plan.
  • Acted for Hong Kong-based YGH Australia Investment Pty Ltd (Yansteel) in relation to its investment to acquire 50% of the Thunderbird Mineral Sands Project for AU$130.1 million by way of the formation of an incorporated joint venture with ASX-listed Sheffield Resources Limited.
  • Acted for Hong Kong-based YGH Australia Investment Pty Ltd (Yansteel) in relation to its AU$12.9 million subscription into ASX-listed Sheffield Resources Limited.
  • Acted for a range of companies in relation to members’ meetings and corporate governance and regulatory matters including compliance with the Corporations Act 2001 and ASX Listing Rules.
  • Acted for various not-for-profit clients in relation to the incorporation and establishment of incorporated associations and companies limited by guarantee.
