Rick Stolbach counsels a wide array of US and non-US based clients in the areas of domestic and international business transactions and practices, with particular focus on real estate, joint ventures, business structuring, and mergers and acquisitions. A former deputy chair of the firm’s Business Department, Rick draws on both his many years of private legal practice, as well as his experience as a business executive, to assist clients in the development or restructuring of complex commercial relationships and the completion of a broad range of transactions, and has been involved in real estate and infrastructure projects throughout the US and on five continents. Rick counsels clients on the formation of new companies and cross-border expansion. He also provides strategic advice to clients on the structuring of US investments, contract negotiations, corporate governance issues, US government procurement issues and financing strategies.

Outside the firm, Rick served for several years as executive vice president and corporate secretary of Breed Technologies, Inc., an international manufacturer of automotive and electronic components and systems, where he was responsible for the company’s mergers and acquisitions, legal affairs, international licensing and joint venture activities, communications and investor relations – including playing a leading role in the company’s initial public and subsequent offerings on the New York Stock Exchange.

  • Represented equity investors and developers as lead counsel in transactions relating to US and international commercial real estate matters (including office, hotel, retail, industrial and residential) and involving several billion dollars of invested equity. Examples of these transactions include:
    • Acquisition of several large (500,000+ sq.ft.) industrial properties, including distribution centers and data centers in several states
    • Sale and purchase of retail centers in California, North Carolina and Indiana 
    • Development of large hotel projects in several states, including Florida, Washington DC, California and New York
    • Development of a high-rise multifamily project in downtown Philadelphia, Pennsylvania
    • Acquisition/expansion of high-end Boca Raton, Florida, retail/office/multifamily complex
    • Development of mixed-used (office/condo) towers in Dallas, Texas, San Francisco, California, and Washington DC
    • Establishment of a joint venture program for the development of multiple self-storage facilities around the US
    • Joint venture for multiphase, mixed-use redevelopment of a 100-acre parcel in Anaheim, California
  • Acted as lead counsel for the sale of the assets, including several real estate parcels, and business of a large US construction company.
  • Acted as lead counsel, representing a European strategic investor in the completion of a series of investments and joint ventures in US telecommunications and related services companies involving equity investments totaling US$1.3 billion.
  • Assisted international institutional investors in negotiating many private equity, real estate and hedge fund investments and co-investments, involving several billion dollars of commitments.
  • Advised non-US companies and individuals on issues relating to the establishment of US operations, including working with tax advisors to optimize corporate structures and operating practices.
  • Advised investors and contractors on joint venture/consortium and other contractual arrangements relating to public-private partnerships and other forms of infrastructure development and investment.
