Haitao Zhang is a member of the Corporate and Financial Services practice groups, focusing his practice on capital market transactions, mergers and acquisitions, debt financings, corporate governance, securities law compliance and other regulatory matters. Haitao has substantial international experience representing clients on various capital market transactions, including Rule 144A/Regulation S equity and bond offerings, as well as US public offerings by non-US private issuers.

Prior to entering private practice, Haitao clerked for The Honorable Thomas L. Ludington at the 42nd Circuit Court in Michigan until Judge Ludington was appointed to the US District Court for the Eastern District of Michigan. In addition, he had two appellate level externships including one at the chambers of the Honorable Richard F. Suhrheinrich with the US Court of Appeals for the Sixth Circuit.

Haitao was a certified securities professional engaged in the areas of investment consulting, trading and brokerage at a leading securities firm in China before going to law school. He received his master degree from Guanghua School of Management at Peking University, where he focused his study on investment and stock market.

  • Representation of issuers or underwriters in IPOs, follow-on and secondary stock offerings, including shelf takedowns, ATM programs and block trades.
  • Representation of issuers in unregistered offerings, including Rule 144A/Regulation S equity and bond offerings.
  • Representation of leading financial institutions to raise capitals through registered and unregistered offerings of various forms of equity, debt and hybrid securities, including common stock, prefer stock, senior notes, subordinated notes, MTN notes, bank notes and trust preferred securities.
  • Representation of a public company on spin-off and listing of its subsidiary.
  • Representation of issuers in Hong Kong IPO in connection with global offering in reliance on Rule 144A and Regulation S.
  • Representation of Chinese issuers of bonds (including high yield bonds and RMB bonds) in connection with global offering in reliance on Rule 144A and/or Regulation S.

Mergers and Acquisitions

  • Representation of buyers or sellers in public and private merger transactions, including both bank mergers and non-bank mergers.
  • Representation of buyers in stock and asset acquisitions.
  • Representation of one of the largest manufacturers of heavy trucks in China in its cooperation project with a German industrial group through joint venture and licensing arrangement.
