About Andrew

Andrew Fields is an associate in our Public & Infrastructure Finance Practice Group. Andrew has significant experience with a variety of taxable and tax-exempt municipal bond structures serving as bond, borrower’s, disclosure and underwriter’s counsel, including but not limited to, general obligation bonds, revenue bonds, certificates of participation, conduit financings, 501(c)(3) bond issuances for private schools and universities and airport facility bonds.

Further, Andrew has experience serving as bond counsel and underwriter’s counsel on various California state agency revenue bond transactions. He has assisted counties, cities and other government entities in the tax-exempt financing process to ensure efficiency and compliance for a wide variety of projects. His experience includes financings secured by project revenues, municipal and state agency leases and certificates of participation.

Andrew also has extensive project finance experience, having advised international construction firms in major public-private partnerships in Georgia, Louisiana, Maryland and Tennessee, as well as having advised sponsors in connection with energy, oil, gas and mining projects in a variety of global regions, and, while seconded to a major Japanese trading company, he advised the client on the development of the largest energy from waste project in the Middle East, and managed the development of multiple major energy projects in Southeast Asia.

Additionally, Andrew has substantial corporate experience, having advised domestic and East Asian clients on mergers, acquisitions and other corporate transactions. Andrew also represents clients in regulatory and lending matters for offices of non-US-based banks, as well as other lenders in California and assists clients in commercial matters including secured transactions, distribution and other agreements.

Experience

  • Representing the State Public Works Board of the State of California as disclosure counsel on the collective issuance of approximately US$706 million lease revenue bonds in 2025, approximately US$1.99 billion lease revenue and lease revenue refunding bonds in 2024 and approximately US$1.46 billion lease revenue bonds and lease revenue refunding bonds in a competitive sale and negotiated sales in 2023.

  • Representing San Francisco International Airport as lead bond counsel on the collective issuance of approximately US$1.04 billion revenue bonds in 2025, approximately US$924 million revenue refunding bonds in 2024 and approximately US$1.03 billion revenue refunding bonds in 2023.

  • Representing the city and county of San Francisco as co-bond counsel on the issuance of approximately US$122 million general obligation bonds in 2023.

  • Representing the city and county of San Francisco as co-bond counsel on the issuance of approximately US$214 million refunding certificates of participation in 2024 and approximately US$183 million certificates of participation in 2023.

  • Representing the California Municipal Finance Agency as bond counsel on the collective issuance of approximately US$113 million senior revenue bonds and refunding revenue bonds for The Caritas Corporation’s mobile home projects in 2024 and 2023.

  • Representing the California Education Facilities Authority as bond counsel on the collective issuance of approximately US$139.7 million revenue bonds and refunding revenue bonds for University of the Pacific in 2025 and 2023.

  • Representing First-Citizens Bank & Trust Company and Western Alliance Bank as lender’s counsel, purchaser’s counsel or credit provider’s counsel on various education related 501(c)(3) bond issuances and on various affordable housing projects since 2022.

  • Representing the design build joint venture to achieve financial close on the I-10 Calcasieu River Bridge project undertaken as a public private partnership by the Louisiana Department of Transportation and Development.

  • Representing the developer group and the design build joint venture to achieve financial close on the SR 400 tollway project undertaken as a public private partnership by the Georgia Department of Transportation and Development.

  • Representing the lenders for the Phase II component of the Prince George’s County Public School improvement project.

  • Representing the State of Colorado Office of P3 projects as private partnership counsel.

  • Representing domestic and global clients on mergers and acquisitions and other corporate transactions.

  • Representing lender clients by performing due diligence for and negotiating and documenting real estate secured loans and personal property secured loans.

  • Representing a major Japanese conglomerate in multiple cross-border mining and energy investments.
