About Breanna

Breanna Ivankovic is an associate in our Financial Services Practice who advises on a range of domestic and cross-border financing transactions.

Prior to joining our Financial Services team, Breanna completed a graduate rotation in our Litigation Practice, where she assisted on commercial and contractual disputes, as well as corporate shareholder litigation. Breanna also has experience assisting our Corporate team with due diligence on mergers and acquisitions and dealing with corporate regulators (including the Australian Securities and Investments Commission (ASIC) and the Foreign Investment Review Board (FIRB)).

Experience

Financial Services

  • Assisting with the refinancing of a metropolitan airport operator’s existing financing and facility arrangements.

  • Assisting with drafting a suite of financing documents in relation to funds provided by a private equity firm to a private investor.

  • Assisting with Australian law advice on range of cross-border transactions in relation to facilities and refinancings for lenders and corporate borrowers.

  • Reviewing and assisting on a range of security arrangements and agreements in relation to securities under and dealing with the granting and discharging of securities under the Personal Properties Securities Act 2009 (Cth).

Litigation

  • Assisting on proceedings in relation to alleged misleading and deceptive conduct and breaches of the Corporations Act 2001 (Cth) and Australian Securities and Investments Commission Act 2001 (Cth) by the former directors of an Australian company in relation to the acquisition of that Australian company.

  • Assisting on defending a private individual against allegations of, among other things, breach of contract and misappropriating the intellectual property and confidential information of their former employer.

  • Assisting on a preliminary discovery application requesting the production of confidential documents against the private individual’s current employer commenced by the former employer.

Corporate

  • Assisting with due diligence in relation to the acquisition of an entertainment company.

  • Liaising with corporate regulators, including:

    • FIRB in relation to a non-objection notification

    • ASIC in relation to a company reinstatement
