About Domenico

Domenico Rotondo is an associate in our Corporate Practice, based in the Perth office. Domenico has experience assisting with due diligence for mergers, acquisitions and other corporate transactions, as well as assisting on a range of commercial agreements and corporate governance matters.

Prior to joining the Corporate team, Domenico completed a graduate rotation in our Litigation Practice, where he assisted with corporate and commercial disputes and competition law matters.

Experience

  • Assisting with due diligence in relation to:
    • The acquisition by Autoleague Group of Western Australian automotive dealerships Osborne Park Kia and LDV, and Albany World of Cars
    • The internal integration of a group of Australian subsidiary companies for a foreign-owned parent company and a subsequent related acquisition of two companies engaged in mining operations in Western Australia
    • The acquisitions of two companies operating, respectively, an aerodrome and an airfield in Australia’s Kimberley region by an Aboriginal-owned corporation
    • An agreement for the sale of an exploration licence tenement in the West Pilbara region of Western Australia
  • Assisting a group of foreign investors with obtaining approval from the Foreign Investment Review Board for the internal restructuring of their Australian unit trust for the purpose of managing the development of a commercial/residential apartment complex.
  • Assisting with ongoing corporate advisory services to a major Australian automotive dealership network, including in relation to commercial contracts, and dealership licensing and branding agreements.
  • Preparing advice in relation to the application for an Australian financial market licence.
  • Reviewing and assisting with advising on an agreement for the supply of solar panels to a green ammonia project for the project owner.
  • Reviewing and assisting on a range of commercial agreements, including shareholders agreements, subscription agreements, confidentiality agreements and nondisclosure agreements.
  • Assisting on a range of company secretarial/corporate governance matters, including reviewing company constitutions, preparing and issuing notices to the Australian Securities and Investments Commission (ASIC), preparing board resolutions and advising on company director appointments.
  • Assisting with obtaining competition approvals from the Australian Competition and Consumer Commission (ACCC) for a wagering operator in relation to its business operations in Victoria.
  • Assisting on a dispute regarding the ability of one shareholder to utilise the “deadlock” procedures of the shareholders agreement to force a sale of shares in circumstances where the other shareholder was facing liquidation.
  • Assisting with acting for a landlord regarding a dispute about the ownership of secured goods abandoned at a property following termination of the lease.
