About Jason

Jason Floyd is an associate in the Corporate Practice Group, where he offers strategic legal counsel across various areas of corporate law. He advises clients across multiple industries including fintech, corporate services, manufacturing and technology on merger and acquisition transactions, venture capital transactions, institutional and private equity financing, as well as general corporate governance issues.

His attention to detail, responsiveness, team approach and astute legal insight has helped him build a reputation as a go-to lawyer supporting complex transactions for some of the firm’s largest and most complex deals.

While in law school, Jason served as an executive notes editor of Washington University’s Journal of Law and Policy. He also realized his interest in corporate law by working as a student lawyer in the Entrepreneurship and Intellectual Property Clinic, where he advised nonprofits and businesses in the St. Louis area on formation, corporate governance and commercial contracts.

Additionally, Jason worked as a contracts intern for a global aerospace company, where he wrote term sheets for new contracts and performed risk analyses on existing contracts. Jason also served as a legal intern for the Saint Louis Zoo, where he primarily worked on contract and employment law issues.

  • Advising a global fintech and corporate services provider on the strategic acquisitions of a financial software company and a marketing and analytics company.
  • Representing a global leader in automotive and industrial solutions in multiple transactions involving the sale of over 65 stores to various franchisees.
  • Advising a professional messaging solutions provider in its strategic acquisition of a leading business texting platform.
  • Advising a US water management solutions manufacturer in its acquisition of a leading producer of onsite septic wastewater treatment systems.
  • Representing a roofing materials distributor in its upsizing and US$300 million refinancing and US$300 million upsizing of its Term Loan B credit facility, totaling over US$1.27 billion.
