About Louise

Louise Ng has built a robust legal practice focusing on several key sectors and areas of law: venture capital and startups, TMT, corporate mergers and acquisitions, securities law and banking transactions involving taking security in Hong Kong.

Louise’s extensive and broad legal experience allows her to navigate complex legal issues with stature, providing clients with tailored and succinct legal advice and solutions.

Louise was previously seconded to a global investment bank providing corporate and contract law advice to internal stakeholders.

Venture Capital and Startups

Louise advises startups and founders, enabling them to secure funding in series of funding rounds and navigate regulatory requirements. Louise is also a trusted adviser to a number of venture capital firms and high net worth clients in their minority investments in portfolio companies in the technology, AI and healthcare sectors. Louise’s hands-on approach ensures clients receive timely, practical and actionable advice in time-sensitive transactions.

Corporate M&A

Louise has extensive experience in cross-border and private M&A transactions, advising clients in every stage of the transaction process, including term sheet negotiation, conducting legal due diligence, drafting definitive transaction agreements and ancillary documents and attending to closing.

TMT

Previously part of our Communications Practice Group, Louise has extensive knowledge in the telecommunications sector in Hong Kong and regionally, advising international telcos and businesses on their day-to-day business and ensuring compliance with regulatory requirements.

Financing

Louise provides Hong Kong law advice and support to the firm’s banking and financial institutions clients in their banking and financing transactions (including asset-based lending, revolving credit facility and accounts receivables purchase facility), and taking security in Hong Kong.

Experience

  • Advising investors on their Series C investment transaction in a target in the autonomous driving systems and solutions sector with pre-money valuation at US$ 5.6 billion.

  • Advising a food tech startup with offices in Hong Kong, Singapore and US on its Series B financing round.

  • Acting for the lenders and agent in a €90 million financing transaction and taking security for the lenders in Hong Kong, including advising on various amendment and restatement agreements, partial release of security and confirmation of existing security.

  • Acting for the lenders and security agent in a US$30 million finance facility and taking security for the lenders in Hong Kong.

  • Acting for and advising a privately funded investment company in its debt/equity investments in the US, Europe and the Asia Pacific region.

  • Acting for and advising a NYSE-listed electronics and equipment provider in its acquisition of a group of companies in the system integration and computer services industry having businesses in the PRC, Hong Kong and Macau.

  • Acting for and advising a leading Europe-based telecommunications operator in its acquisition of a Hong Kong-based broadcasting and telecommunications company.

  • Acting for and advising one of the largest global telecommunications companies based in Japan in its acquisition of a premier data center in Hong Kong.

  • Acting for and advising a Europe-based investment bank in its debt financing transactions.

  • Advising a US-based telecom company on its VoIP business and the regulatory landscape in Hong Kong and other parts of the world.

  • Assisting and advising clients in negotiations, and drafting intellectual property license, fiber lease and bandwidth license agreements.

  • Assisting and advising clients in restructuring a group of companies, including drafting and preparation of relevant transaction and corporate documentation.

  • Working in the legal department of an international investment banking firm (as a secondee) focusing on contractual matters and assisting other in-house legal counsels in their relevant areas of practice such as human capital management, tax and regulatory matters.
