Philip Lee is an English and New York law qualified corporate partner based in Singapore.
He has over two decades of experience in public and private M&A, joint ventures, capital markets (both debt and equity), complex restructuring, structured financing and private equity across the globe, with a particular focus on the Asia Pacific region. His practice spans financial services, sustainability and environmental, social and governance (ESG), projects, energy and resources (both traditional and renewables), consumer and healthcare, technology (including telecommunication, fintech and biotech), real estate, infrastructure and construction sectors.
Philip has been based in Singapore since 2006 and has advised clients in every major jurisdiction in Asia. He brings a multidisciplinary approach to complex transactions involving public and private elements, enabling effective transaction planning, execution and regulatory compliance, while delivering commercial outcomes.
In the capital markets space, Philip represents issuers, sponsors and investment banks across a broad range of debt, equity and equity-linked capital markets transactions, including high-yield, investment grade, regulatory capital, corporate hybrids, Rule 144A/Regulation S transactions, special purpose acquisition companies (SPACs), DeSPACs, Securities Exchange Commission (SEC)-registered offerings, Islamic financing, global medium term note (GMTN) and euro medium term note (EMTN) programmes, privatisations, rights issues, initial public offerings (IPOs) and liability management exercises. He also has extensive experience advising on structured investments, repos, International Swaps Derivatives Association (ISDA) negotiation and documentation, and maintains a strong client following among global and regional securities houses.
In addition, Philip has extensive experience advising on secured and unsecured bank financing transactions, including leverage and acquisition financing, pre-IPO financing, mezzanine financing, project financing, refinancings and special situations transactions.

Advised Ping An Insurance in connection with a US$3.5 billion 0.875% convertible bond listed on the Hong Kong Stock Exchange. This deal was the largest Reg-S-only convertible bond, the largest convertible bond in the insurance sector and the first offshore convertible bond ever by a Chinese insurance company.*
Advised IIFL Finance in respect of the conversion of its EMTN programme to a GMTN Programme and a first drawdown of US$325 million 8.75% high-yield notes due 2028.*
Advised Precious Shipping Public Company Limited on a sustainability linked bond guaranteed by CGIF, a trust fund of the Asian Development Bank. This bond was the first of its kind in the ASEAN shipping sector.*
Advised Avation PLC in connection with the update of a US$1 billion GMTN programme to allow the company to access the US markets, and the first US$300 million high-yield bond drawdown.*
Mergers and Acquisitions
Advised Indian promoters on disposing 100% of their stake in a leading business process outsourcing (BPO) provider of customer management solutions headquartered in Noida, India, with subsidiaries located globally, including in the US and Mauritius.*
Advised a global investment company in respect of its acquisition of a minority stake in a technology company providing parking management technology to help employees of businesses in Australia and North America obtain access to their office parking.*
Advised a global investment company in respect of the acquisition of a minority stake in a funds management company based in Australia.*
Advised a global investment company on its acquisition of the entire interests in a fintech financial services company based in Australia.*
