With US President Donald J. Trump now in office and Republicans in control of Congress, it is time to take a serious look at the potential impact on M&A. Rising interest rates, lower taxes, free trade upheaval, deregulation, expanding national security review, shifting antitrust focus and healthcare reform are all on the table and have major implications for future deal making.
Faculty will explore the moves made by President Trump and Congress so far, as well as the Trump campaign promises and the Republican party platform, with a focus on the M&A environment.
Topics will include:
Deal activity and deal types, including sectors and participants sanctions, export controls and bribery related due diligence
Substantive and procedural antitrust treatment of M&A activity by the DOJ and FTC
Evaluating M&A opportunities in the wake of individual insurance market reforms, Medicaid reforms, and payment model reforms
Deal terms, including representations, covenants and conditions
Tax proposals, including rates, repatriation opportunities and risks, and character changes
