Squire Patton Boggs is pleased to announce that Jennifer A. Val has joined the firm as of counsel in the Financial Services Practice, resident in New York.

Ms. Val represents public and private companies, underwriters and private equity firms in a variety of public and private securities offerings and general corporate matters. She advises clients on corporate governance matters, compliance with SEC reporting, Sarbanes-Oxley, the JOBS Act, NASDAQ/NYSE requirements, periodic and current SEC reports, and day-to-day corporate matters. Ms. Val’s clients have included major US companies (including MLPs, REITs and BDCs), foreign companies and governments, private equity firms and prominent investment banks. Her experience encompasses a wide variety of business sectors, including commercial banking, biotechnology, pharmaceuticals, technology, retail, telecommunications, cruise lines, industrials, manufacturing and governmental entities, with a special focus on companies in highly regulated sectors.
Ms. Val has a broad range of transactional experience, including SEC-registered offerings (including IPOs, primary and secondary), Rule 144A/Regulation S/Section 4(a)(2) unregistered offerings, exchange offers, tender offers, consent solicitations, share repurchases and commencement of medium-term note, retail note and commercial paper programs. She counsels clients with respect to the issuance and sale of high-yield debt, investment-grade debt, medium-term notes, bank notes, convertible notes, common stock, preferred stock and limited partnership interests. Ms. Val most recently practiced at Thompson Hine.

Ms. Val’s arrival is the latest in a string of strategic financial services hires within the past five months, including: former senior bank regulator and CEO Derrick D. Cephas in New York; maritime and offshore oil and gas financing partner Kate Sherrard in Singapore; equity capital markets partner Fergus Gallagher in London; and private equity partner Julian Thatcher in London.
