Squire Patton Boggs Advises Janison Education Group on its Acquisition and Capital Raising Strategy

Squire Patton Boggs has advised Janison Education Group Ltd (Janison, ASX:JAN) on its acquisition of Academic Assessment Services (AAS), following the completion of a successful AU$18m capital raising. The acquisition follows a busy period of expansion.

Janison is a global market leader in digital assessments and testing with a focus on assessments in primary and secondary schools. It also provides higher education and accreditation body testing services. Janison's standardised assessment platform has been developed over the course of 10 years, with more than 10 million exams being delivered in 110 countries each year.

The acquisition of AAS enhances Janison’s suite of school assessments and strengthens its product portfolio and assessment production team, adding a range of formative assessments, scholarship tests, career assessments, an ATAR indicator engine and powerful reporting tools including psychometrics and data analysis.

The AAS acquisition follows several other significant achievements for Janison, including:

  1. The acquisition of Educational Assessments (a division of UNSW Global), a leading assessment solutions business that creates skills-based competitions and formative, diagnostic and summative assessments with an operating history of approximately 35 years.
  2. The completion of a successful AU$18 million capital raise through a AU$15 million institutional placement and AU$3 million share purchase plan.
  3. The acquisition of Quality Assessment Tasks, an Australian market leader in the development of school assessments that has been in operation for more than 20 years.
