Squire Patton Boggs advised Gorman-Rupp, a leading designer, manufacturer, and international marketer of pumps and pump systems, in connection with the acquisition of Fill-Rite and Sotera (“Fill-Rite”), a manufacturer of high performance liquid transfer pumps for $525 million.
Subject to regulatory approval, the deal is expected to close in the second quarter of 2022.
Founded in 1933 and located in Mansfield, Ohio Gorman-Rupp designs a variety of pumps specifically for OEM customization. Applications include alternative energy, appliances, food & beverage, HVAC, printing, medicine, electronics cooling and transportation.
With facilities in Fort Wayne, Indiana and Lenexa, Kansas, the Fill-Rite and Sotera brands carry strong legacies associated with superior products, and hold leadership positions in attractive niche pump markets. The manufacturer also provides a comprehensive line of mechanical and digital meters, precision weights and measures certified meters, hand pumps, hoses, nozzles and accessories.
