Ivan Chalupa primarily focuses his practice on M&A transactions and corporate law matters. He also has extensive experience in litigation before Czech courts, arbitration, insolvency proceedings and regulatory matters. Additionally, Ivan advises private clients on succession planning.

Ivan is a co-author of several publications with C. H. Beck and Wolters Kluwer, focused primarily on Czech corporate law. His most recent works include Commented Case Law to the Limited Liability Company (Wolters Kluwer, 2023) and Commented Case Law to the Joint-Stock Company (Wolters Kluwer, 2023).

Ivan is also a co-author of the Practical Manual to the Business Corporations Act and the Practical Manual to the Transformations Act, developed as add-ons to the ASPI legal information system operated by Wolters Kluwer. These manuals summarize the available case law conclusions and practical know-how related to the above corporate Acts.

Since 2018, Ivan has been teaching Financial Services Law at the Institute of Economic Studies at Charles University in Prague.

  • Assisting a German real estate fund with a spin-off of the assets of its Czech company owning a hotel in the center of Prague into a new company, setting up legal relations between the asset company and the operating company and a subsequent sale of the operating company.
  • Advising a significant Czech software and electronic hardware company on implementing an ESOP scheme designed for the members of corporate bodies, employees and independent contractors.
  • Assisting Czech software company with the restructuring and subsequent sale of the split company to a large US telecommunication company.
  • Representing one of the largest Polish private equity funds with respect to the sale of shares in a market-leading Czech travel agency with subsidiaries in a number of countries in the CEE region.
  • Advising a Czech software company with structuring and creation of a spinoff joint venture with two software developers and inventors of a breakthrough computer security solution.
  • Assisting a Czech real property group with refinancing of its bank loan of an aggregate value exceeding CZK 1 billion.
  • Advising a Czech borrower in connection with a domestic bond issue in the amount of CZK 150 million.
  • Assisting a Czech real property group with corporate restructuring, including a spin-off of assets into three subsidiaries, of an aggregate transaction value exceeding CZK 1 billion.

Restructuring & Insolvency

  • Representing a Czech bank in the insolvency proceedings against a major Czech air carrier, including representation on the creditors’ committee.
  • Advising a foreign company doing business in the automotive industry within the moratorium and insolvency proceedings against its Czech supplier, including advising regarding the financing of the acquisition of the part of the enterprise of this supplier within the insolvency proceedings.
  • Representing a Czech bank in connection with the insolvency proceedings against a significant Czech engineering company, including representation in incidental disputes.
  • Advising a real estate company whose significant Prague building was included in the insolvency estate of the seller, including representation in the proceedings regarding the claim for its exclusion from the insolvency estate.

Legal Disputes

  • Representation of a significant Czech engineering company in an International Chamber of Commerce (ICC) arbitration based in Mexico City against a consortium of two large Spanish companies operating in the construction and engineering sectors and their Mexican subsidiary.
  • Representation of a significant Czech engineering company in an ICC arbitration based in London against two large Spanish companies operating in the construction and engineering sectors.
  • Representation of a natural person in an ICC arbitration regarding a dispute from a share purchase agreement.
  • Representation of a private investor regarding the enforcement of its rights under the shareholders agreement against the majority shareholders.
  • Representation of Czech company in an ICC arbitration regarding the dispute from the share purchase agreement and assisting with the subsequent negotiation of the complex settlement.
  • Legal representation of a Polish institutional private equity fund in court proceedings before Czech courts concerning one of its portfolio companies the Czech Republic and its subsidiary companies within CEE.
  • Legal representation of a municipality in Czech arbitration proceedings which was sued by contractor for an amount exceeding CZK 3.7 billion.
  • Legal representation of a property developer before Czech courts in several disputes regarding liability for defects.

Regulatory Matters

  • Advising one of the largest defense companies regarding licensing requirements in the Czech Republic.
  • Advising an incumbent Czech mobile service provider regarding the amendment of a decision on radio frequencies allocation.
  • Advising a publicly traded global satellite services provider with respect to the licensing of its innovative hybrid satellite technology in the Czech Republic.
  • Assisting an EU-based energy company with the establishment of a branch in the Czech Republic and licensing in the energy sector.
  • Representing a US-based pharmaceutical company in the negotiations of clinical trial agreements with various Czech hospitals.
  • Advising a US-based securities dealer with respect to the establishment of an agency in the CEE.

Other Significant Experience

  • Advising a global nuclear energy company with respect to a public procurement procedure for a turnkey contract for construction of two reactors in a nuclear power plant.
  • Reviewing loan and security documentation for a significant Czech bank in connection with the recodification of Czech private law.
