Sylvia Cherem is an associate in the firm’s Financial Services Practice.

Sylvia represents lenders, agents and borrowers in complex corporate finance transactions with a particular focus on energy finance. She advises financial institutions, developers and equity investors on project financing and structuring, both domestically and internationally. Sylvia has extensive experience in syndicated and bilateral, secured and unsecured financings; cross-border facilities; and Chapter 11 restructurings.

Her transaction experience includes drafting and negotiating comprehensive financing documentation, such as credit agreements, security arrangements, letters of credit, and intercreditor agreements. This work supports both traditional and renewable energy clients in achieving their development and operational goals.

Prior to joining the firm, Sylvia was an associate at two global law firms where she advised clients across a broad range of financial services matters. Additionally, she was the founder and CEO of a pioneering health and wellness technology company.

  • Represented Wells Fargo Bank, National Association as lender, administrative agent and collateral agent in the exit financing for Diamond Offshore Drilling Inc. and certain affiliates. The exit financing included approximately US$400 million in a revolving credit facility, US$100 million in a term loan and over US$85 million in privately placed notes.*
  • Represented Crédit Agricole Corporate and Investment Bank as agent to the lenders in the US$2.44 billion letter of credit facility and approximately US$544 million in funded debt for McDermott International Ltd in the emergence from bankruptcy.*
  • Represented Crédit Agricole Corporate and Investment Bank as agent to revolving debtor-in-possession (DIP) lenders in the US$2.8 billion financing facility in a prepackaged Chapter 11 restructuring transaction for McDermott International.*
  • Represented Crédit Agricole Corporate and Investment Bank as lead arranger and revolving administrative agent in the US$1.7 billion new financing for McDermott International, which included immediate access to US$650 million of financing, comprising US$550 million under a term loan credit facility and US$100 million under a letter of credit facility.*
  • Represented Clean Energy Nexus PR LLC as borrower on credit facilities used to finance the development of energy systems in Puerto Rico.*
  • Represented Standard Solar as borrower in a back-leverage loan transaction supporting several portfolios comprising commercial, industrial and community solar projects located across the US.*
  • Represented Algonquin Power & Utilities Corp in the sale of a fully contracted utility-scale solar project in Colombia and a joint venture with a European investment fund to develop approximately 30MW of utility-scale solar projects in Colombia.*
  • Represented Compañía Española de Financiación del Desarrollo (COFIDES) as lender in term loan financing for a leading hospitality group in connection with expansion of its brand in the US.*
  • Represented BlockTower Credit Partners LP as lender on a cutting-edge on-chain securitization platform between BlockTower Credit Partners LP and MakerDAO, a decentralized autonomous organization and one of the largest decentralized crypto-lending protocols.*
