He acts for clients in a varied range of sectors, including technology, fintech, media, financial services, real estate, retail and leisure.

Private Equity: Sponsor Acquisitions and Investments

  • Acted for MML Capital Partners on its investment in, and exit from, Waystone (a global leader in fund governance and compliance services), as well as advising on numerous platform acquisitions for Waystone. MML's exit achieved an effective 11x return on investment.
  • Advised MML Capital Partners on its partnership investment in BSN Social Care, a leading domestic independent fostering agency.
  • Advised Growth Capital Partners on several investments and disposals, including DMW (a specialist IT consultancy group), FlyDocs Systems (a creator of aircraft data software) and Cooke Optics (a leading manufacturer of cine lenses).
  • Advised Tenzing Private Equity on its investment in FMP Global (a global payroll solutions provider) and Smoothwall (a provider of internet safeguarding software).

Private Equity: Management and Seller Advisory

  • Represented the senior management team of ERS insurance in respect of the simultaneous investment by both Aquiline Capital Partners and Abry Partners.
  • Advised the senior management team of SoftBox Systems, a leader in biotech temperature controlled packaging, on the terms of sale to CSafe Global, a portfolio company of Frazier Healthcare Partners and Thomas H. Lee Partners.
  • Advised the senior management team of a significant and market-leading portfolio company of Bain Capital Partners on a management incentive programme.
  • Acted for the sellers of Media iQ, a leading digital marketing agency, on the investment by ECI Partners, in addition to advising the founders and management team of Edenhouse solutions on a separate investment by ECI Partners.

Corporate Acquisitions and Disposals

  • Acted for Broadridge Financial Solutions, Inc., an S&P 500 global fintech leader, on numerous European acquisitions, including its US$2.5 billion acquisition of Itiviti Holdings, a multinational developer of trading technology, from Nordic Capital.
  • Acted for Technical Fibre Products Limited, a James Cropper PLC company, on its acquisition of PV3 Technologies (a green hydrogen technology developer).
  • Acted for Nice Ltd, the global leader in data solutions, on its acquisition of Brand Embassy (a Czech-based software developer).
  • Advised Mitsubishi Chemical Corp on the disposal of its Lucite polymethyl sheet business and Perspex distribution business to Schweiter Technologies Group, based in Switzerland.
  • Advised the senior executive team of leading corporate finance advisory firm, Quayle Munro, on its sale to Houlihan Lokey.
