Emma Connolly is a corporate and commercial lawyer who advises on corporate governance and regulatory matters; mergers, acquisitions and divestments; commercial contracts; capital raisings; and shareholder disputes.

    Emma’s clients come from a broad range of industry sectors, including health care, media and advertising and insurance, and her experience covers working with both domestic and foreign registered clients, publicly listed and private entities, SMEs and sole traders.

    • Advising Ricardo Australia Pty Ltd in relation to the acquisition of 100% of the share capital of environmental and technical advisory business Inside Infrastructure Pty Ltd.
    • Providing general corporate governance advice, including maintaining ASIC registries for domestic companies, preparing for AGMs, drafting and maintaining company policies, advising on ASIC regulatory guidelines and compliance with responsibilities in the Corporations Act 2001 (Cth).
    • Assisting with share purchases and transfers, including drafting and issue breach notices for events of default and shareholder removal.
    • Drafting a range of commercial contracts and agreements, including shareholders agreements, general security deeds, confidentiality deeds, deeds of amendment, privacy policies and terms and conditions.
    • Assisting with aspects of capital raising activities, including drafting a shareholder’s deed, subscription agreement for the issuing of shares and option agreements for the purchase of future shares, as well as managing the updating of the company share register.
    • Assisting with a shareholders’ dispute following an event of default, including drafting default notices, a share sale agreement, share transfer forms and consents and resolutions to effect the removal of a shareholder.
    • Developing web-based tools to assist sole traders and SMEs with reviewing their standard form contracts for compliance with unfair contract terms under the Australian Consumer Law.
