Andrea is a partner in the firm’s Financial Services practice group, with a focus on securitization transactions and warehouse lending arrangements relating to a variety of asset classes. Andrea regularly advises on financing transactions in the real estate, energy, technology and auto industries, including consumer and commercial loans, as well as leases.

Andrea leverages her prior roles as in-house counsel to the world’s largest auto manufacturer, as well as at a leading technology, energy and electric vehicle manufacturer, where she covered securitizations, warehouse facilities and other financing transactions as part of the global treasury and capital markets functions.

  • Represented a first-time issuer in creating a titling trust and structuring a bespoke corporate bond issuance secured by receivables and backed by a pool of single-family home rental agreements.*
  • Represented a first-time issuer in creating a titling trust and entering into a credit facility secured by a fleet of electric vehicles and certain receivables generated by various commercial rental agreements.*
  • Advised certain creditors in connection with the potential bankruptcy of a national car rental company and such creditors’ rights with regards to various investments in securitizations made by the rental car company’s captive finance company.*
  • Advised in-house treasury and capital markets teams for an electric vehicle maker’s first auto-backed securitization, which included a complex electric-vehicle tax equity structure and the simultaneous refinance of an existing warehouse facility.
  • Advised the international in-house treasury and capital markets teams of the world’s largest auto manufacturer with regards to various securitization-like structures and other capital market and finance transactions in various countries and emerging markets, including, Brazil, Mexico, Columbia, the UK, Italy and France.
  • Represented a private equity backed independent natural gas company in structuring and negotiating its first securitization of notes backed by receivables from gas contracts and certain wellbore interests.*
  • Advised a national equipment finance company with restructuring its securitization program.*
  • Represented a potential investor in reviewing opportunities in a tokenized mortgaged-backed securitization structure.*
  • Represented a first-time issuer of a complex corporate bond issuance secured by a stream of receivables related to a pool of student income share agreements.*
  • Represented the country’s largest senior housing and health care REIT in various issues related to their existing financings and investor relations.*
