Mergers and Acquisitions

• Advising Metals Acquisition Corporation on its US$1.1 billion acquisition of the CSA Copper Mine from Glencore.
• Advising IDOM Inc. on the sale of its Australian automotive operations to a consortium of managers and dealer principals, in a management buyout valued north of AU$150 million.
• Advising and assisting PIVET Medical Centre in relation to the acquisition of its medical centres by an ASX-listed healthcare company.
• Advising the Altrad Group on its acquisition of Valmec Limited (ASX: VMX) for AU$52 million by way of a scheme of arrangement.
• Assisting with drafting the sale documentation in relation to the AU$100 million acquisition of a family-owned bus transport, charter and tour company by Australia’s largest ASX-listed integrated transport provider.
• Advising a privately owned geotechnical consultancy business on its multimillion-dollar acquisition by an Australian subsidiary of a Dutch-headquartered group of entities employing more than 10,000 people and with operations in more than 40 countries.
• Assisting with drafting the sale documentation and completion checklists in relation to the AU$80 million acquisition of a specialist mining services company to a TSX-listed drilling services company.
• Advising on the sale of an Australia-based mineral testing and inspection laboratory to a UK-based group of specialist businesses focused on the testing, inspection, certification and compliance sector.
• Acting for the shareholders of the sale of 80% of the shares in a transport equipment rentals business to a global private equity firm.
• Acting for OTR Tyres on its acquisition of the Australian operations of international tyre retailer Titan Tyres.

Capital Markets and Financing

• Assisting with the completion of three separate debt financing transactions totaling US$395 million in connection with Metals Acquisition Corporation’s acquisition of the CSA Copper Mine.
• Assisting on Alvo Minerals Limited’s (ASX:ALV) AU$10 million initial public offering and listing to the ASX.
• Assisting with due diligence in relation to the refinancing of a portfolio of solar and wind farm projects.

Corporate Governance and Commercial Transactions

• Transactional matters, including preparing business asset sale and purchase agreements/share sale and purchase agreements.
• Drafting, reviewing and negotiating of commercial agreements, including shareholder agreements, confidentiality agreements, trust deeds, company constitutions and partnership agreements.
• Conducting due diligence enquiries and drafting of due diligence reports.
• Assisting not-for-profit and charitable organisations in establishing and registering companies limited by guarantee as charitable organisations and in compliance with ACNC requirements.
• Reviewing and advising on franchise agreements and advising on compliance with the Australian Franchising Code of Conduct, for both franchisors and franchisees.
• Company secretarial/corporate governance matters, such as preparing notices of meeting, company resolutions and other associated corporate governance documents.
• Advising on corporate structures and corporate governance issues.
• Drafting and verification of prospectuses and other public offer documents.
• Providing corporate advisory services to one of Australia’s largest automotive dealers on an in-house secondment basis over a period of two years. Work included advising and negotiating commercial contracts and dealership licensing and branding agreements.
