James Hafner advises clients in industries ranging from manufacturing and medical technology to financial services, healthcare and insurance on a variety of corporate matters, including mergers and acquisitions, governance, contracts, securities and related matters. In addition to his work as a corporate lawyer, he previously worked as in-house counsel for one of the world’s leading hospital systems.
His corporate experience includes drafting purchase agreements, letters of intent and other transaction documents, overseeing due diligence efforts and coordinating with clients, opposing counsel and other counsel. He has provided strategic counsel in response to hostile takeover attempts, removing business partners in the midst of ongoing litigation and navigating joint venture disputes. He has negotiated confidentiality agreements, non-reliance letters and non-disclosure agreements, drafted commercial contracts and advised clients on various corporate governance and securities law matters.
His healthcare experience includes negotiating physician practice acquisitions and employment contracts and performing due diligence in connection with mergers and acquisitions.
James is secretary of the Ohio State Bar Association’s Corporation Law Committee and is active in the Association for Corporate Growth and Communities in Schools of Central Ohio. He is also a member of the American Health Lawyers Association.
While attending law school, James was a member of the Ohio State Law Journal and received CALI Awards for Excellence in Constitutional Law and Advanced Constitutional Law. He is the author of a 2015 article in the Sixth Circuit Review, a publication dedicated to analyzing major legal developments in the US Court of Appeals for the Sixth Circuit.
