Jimmy Hafner advises clients in industries ranging from manufacturing, technology, e-commerce and energy to financial services and insurance on a variety of corporate and transactional matters. He has particular experience negotiating a variety of commercial arrangements, including procurement agreements, technology licensing agreements, sales agent agreements, distributor agreements and supply agreements. Jimmy also has experience counseling clients on mergers and acquisitions, governance, securities and related matters.

Prior to joining the firm, Jimmy worked in the legal department of one of the world’s leading hospital systems. While attending law school, Jimmy was a member of the Ohio State Law Journal and received CALI Awards for Excellence in Constitutional Law and Advanced Constitutional Law.

Jimmy was selected for inclusion in The Best Lawyers in America 2021: Ones to Watch for Corporate Law and Mergers and Acquisitions Law, a listing of the top up-and-coming lawyers.

  • Represented technology and online commerce companies by drafting and negotiating a range of commercial agreements.
  • Co-lead transactional counsel to large US energy company in its Chapter 11 case in which substantially all assets were sold in 15+ section 363 sales.
  • Counsel to regional energy company in section 363 purchases of certain assets previously held by large, publicly-traded energy company.
  • Represented nationwide network of kidney stone treatment and prevention centers in connection with a private equity sale.
  • Represented large alternative investment manager in connection with purchase of insurance company.
  • Represented foreign conglomerate in connection with potential purchase of property and casualty insurance company.
  • Counsel to US coal company in its Chapter 11 case in the Western District of Kentucky, in which it is pursuing a section 363 sale of its mining assets.
  • Representation of several NYSE-listed manufacturing companies in general corporate, securities regulation and mergers and acquisition transactions.
  • Representing large regional hospital systems in connection with physician practice acquisitions, employment contracts and providing guidance on insurance-related matters.
