Lachlan Hallab is a corporate and commercial lawyer with experience advising on mergers and acquisitions, corporate advisory, private equity, corporate governance and commercial contracts.

    Lachlan has assisted with advising a broad range of clients, including startups, investment consortiums, vendors and purchasers, and has particular experience advising clients from the financial services and technology sectors.

    • Acting for the vendors in relation to the sale of a partner business of a US cloud-based CRM software provider.
    • Assisting technology startups (including SaaS and AI platforms) in preparing for capital raising activities.
    • Acting for a consortium of investors in a pre-IPO investment.
    • Assisting with advising an international private investment entity in a pre-IPO investment.
    • Assisting with advising the vendors in relation to the sale of an insurance brokerage business.
    • Undertaking due diligence in relation to acquisitions.
    • Drafting a range of commercial contracts, including shareholder agreements, loan agreements, general security deeds, employee incentive plans, deeds of amendment, privacy policies and terms and conditions.
    • Assisting with advising on a wide range of corporate and commercial matters, including business structuring, shareholder arrangements, security interests and terms and conditions of trade.
    • Assisting with maintaining ASIC registrations and preparing share transfer forms, consents and resolutions.
