  • Acting on the AU$241 million sale of automotive dealership businesses in Victoria to Eagers Automotive Limited. The businesses have an annual turnover between AU$900 million and AU$1 billion, with approximately 770 employees.
  • Acting for a private family-owned group on the sale of its automotive business that operated several branded dealerships, including Toyota, Hyundai and Kia, along with key properties in Sydney, to 4K Automotive Group.
  • Advising on the sale of shares in a leading corporate entity that supplies pharmaceuticals and develops medical technologies and software. The deal consisted of multinational aspects across the Asia Pacific region.
  • Advising on the acquisition of a software and sustainable energy management business.
  • Advising on the AU$30 million-plus share acquisition of a large corporate entity.
  • Advising on the AU$20 million-plus sale of a leading retail franchise.

Corporate and Commercial

  • Acting for various corporate clients in relation to regulatory and compliance advice, corporate governance, company incorporations and restructures, trust establishments, commercial contracting and contract disputes.
  • Drafting and negotiating complex transactional and commercial contracts, including share and asset sale agreements, supply agreements, franchise agreements, shareholders agreements and other commercial agreements.
  • Reviewing and advising on commercial contracts for compliance with Australian consumer and competition laws.
  • Providing legal support on corporate governance and compliance matters regulated under the Corporations Act 2001 (Cth), including dealings with, and notifications to, the Australian Securities and Investments Commission (ASIC), the Australian Competition and Consumer Commission (ACCC) and other regulatory bodies.

Financing and Funding

  • Advising various real estate debt funds on their structured Australian real estate finance facilities and associated debt restructures.
  • Advising a private credit fund on its structured Australian project and real estate finance facilities, as well as associated debt restructures.
  • Advising an international bank in relation to a structured secured financing arrangement for Australian Carbon Credit Units.
  • Advising a government entity on the financing, securities and complex multipartite aspects for essential service assets.
