Rachel Luo
Senior Associate
Rachel Luo is a senior associate in the Financial Services Practice Group, based in Sydney.
Dual-qualified in Australia and China, Rachel has experience advising on a range of banking and finance transactions, funds management and financial services regulation. She advises lenders (banks and non-bank lenders) and sponsors in a wide range of jurisdictions on acquisition and leverage finance, project finance, property finance, structured finance and general corporate finance.
Banking and Finance
- Acting on project and acquisition financing of power and other infrastructure assets, including thermal and renewable energy power plants and ports.
- Acting on acquisition and leveraged financing, including the financing for the acquisition of a leading company in the mining, construction and energy industries.
- Acting for developers, lenders and real estate investment funds on the financings of commercial property acquisitions and developments, including advising on green financing of a commercial property in Victoria.
- Advising global commodity trading corporations on commodities finance and prepayment facilities.
- Acting for borrowers and lenders on general corporate finance transactions.
- Advising banks and non-bank lenders on sub-participation of syndicated facilities.
- Advising global corporate groups on secured and unsecured intercompany loans and corporate debt restructure.
- Advising various corporate suppliers on the Personal Property Securities Act 2009 (Cth) and retention of title arrangements.
- Advising real estate investment funds in respect of trust operation and distribution.
- Advising on regulatory issues in relation to financial products, financial markets and the provision of financial services.
- Advising on licensing and data reporting obligations under Australian financial services laws.
- Advising on contractual arrangements with custodians, trustees and investment managers.
- Advising on registration as a foreign company in Australia, foreign investments, consumer credit and AML/CTF laws.
- Advising Web3 services platforms in respect of the issue of tokens and Restricted Token Units.
- Advising corporate groups on deeds of cross guarantee.
- Advising charity trusts on change of funding purposes.
