Rachel Luo is an associate in the Financial Services Practice Group, based in Sydney.

    Dual-qualified in Australia and China, Rachel has experience advising on a range of transactions for the financial services industry. She advises lenders (bank and non-bank), financial institutions, managed investment schemes, managed funds, syndicates and private companies on asset, trade finance, construction and project financing arrangements and investments.

    Rachel is experienced in drafting facility documents, as well as performing due diligence on proposed transactions for clients. She also advises on regulatory aspects of the financial services industry, including Corporations Act 2001 (Cth), National Consumer Credit Protection Act 2009 (Cth), Australian Financial Services Licence, Australian Credit Licence, APRA, AUSTRAC and FIRB compliance.

    Rachel’s experience includes advising and representing creditors in relation to insolvency, liquidation and bankruptcy proceedings relating to the financial services industry.

    • Advising lenders on the AU$20 million financing of a retail shopping centre in Queensland.
    • Advising non-bank financiers on the project financing of a commercial construction site in Tweed Heads, New South Wales.
    • Advising a financial institution in relation to its investment into agricultural assets in Queensland.
    • Acting for a syndicate on the asset financing of industrial equipment for a Victorian factory.
    • Advising a managed fund on the project financing of four developments in Queensland.
    • Advising corporate clients on compliance with Chapter 7 of the Corporations Act 2001 (Cth).
    • Advising corporate clients on the establishment of managed funds, as well as applications for, and compliance with, conditions of Australian Financial Services Licence (AFSL) and Australian Credit Licence (ACL).
    • Advising a foreign trust on regulatory issues and compliance with APRA and AUSTRAC.
    • Advising financial services entities on corporate governance and processes.
    • Advising secured creditors in relation to priority disputes following the liquidation of a hospitality group.
    • Advising property industry clients in insolvency and bankruptcy proceedings.
    • Acting for creditors and debtors in enforcement proceedings in New South Wales, Queensland, Victoria and Western Australia.
