Pawel Magierowski is a member of the firm’s Global Corporate Practice Group in Warsaw. He advises on a wide range of corporate and commercial transactions.

His experience includes advising clients on mergers and acquisitions (M&A) (both private and public) and private equity transactions, restructurings and other corporate matters.

Pawel also specialises in regulatory issues affecting renewables matters, energy transition and climate change.

He has represented clients in major privatisation transactions, share and assets acquisitions or disposals, acquisition financing and cross-border acquisitions/disposals of groups of companies.

Throughout his career, he has gained unique experience and recognition, especially in the energy and technology, media and telecommunications (TMT) sectors, which brings additional expertise to our M&A team.

  • Advised a Spanish hydrogen and helium exploration company on expanding its operations in Poland, including advising in connection with regulatory aspects of prospecting and exploration of hydrocarbons in Poland and representation in the licensing proceedings conducted by the Polish Ministry of Climate and Environment.
  • Advising a global leader in developing and producing high-quality, responsible packaging solutions for food, beverage, pharmaceutical and other packaging requirements, in connection with several power purchase agreements for supply of electricity and gas to all the client’s Polish manufacturing facilities.
  • Advising a renewable energy holding in connection with the legal aspects of development of a wind farm project of 30MW.
  • Advising a US renewable energy investor in connection with the acquisition of the majority stake in a wind farm project company, as well as with a joint venture with a Polish partner to develop and operate wind farm projects in Poland.
  • Advising a family office vehicle investing in various asset classes, including renewable energy projects, in connection with selling a minority stake in the company developing a wind farm project with a total contemplated capacity of approximately 62.5MW.
  • Advising a Spanish company developing renewable energy projects on acquiring a portfolio of four wind farm projects in Poland (with a contemplated total capacity of approximately 370MW).
  • Advising a Spanish company developing renewable energy projects on the legal aspects of the development of an offshore wind project in Poland, including the proceedings to obtain the seabed permit.
  • Advising on 100% of shares acquisition of the Polish software development company delivering native and multiplatform apps for startups and enterprises.
  • Advising a global telecommunications leader with multinational presence on various matters crucial for the company's business activities in the Polish telecommunications market, including both regulatory and contractual aspects.
  • Advising the largest Polish financial services institution, acting as limited partner, on its investments in a number of global private equity and venture capital funds. Our services included funds due diligence, negotiation of transactional documents, closing and all other aspects of the client’s entry into the funds.
  • Advising a leading European automotive manufacturer on the sale of its interior comfort systems business unit to Lear Corporation, following approval by the European Commission.
  • Advising a private equity fund in connection with its investment in a well-recognised cosmetics maker in Poland.
  • Advising a construction company in connection with the development of a photovoltaic (PV) project in Poland.
