Rhina Martinez Brea focuses her practice on corporate, lending and real estate matters. She advises and assists clients with the drafting and negotiation of a variety of contracts including joint venture, shareholders’, stock purchase, escrow, services, consulting, stock pledge and chattel mortgage agreements. She also provides legal advice to non-Dominican and Dominican corporate clients, including US and European banks, in the structuring, implementing and securing of international financial transactions.

Rhina is recognized for corporate/commercial matters in the Dominican Republic by Chambers Latin America and for general business law by Chambers Global.

Rhina teaches a course as part of the Master in International Business and Litigation program co-offered by Universidad Rey Juan Carlos (Madrid, Spain) and Pontificia Universidad Católica Madre y Maestra.

  • Acting as Dominican counsel to Banco Popular Dominicano, The Bank of Nova Scotia and other banking institutions as lenders, and JP Morgan Securities and Scotia Capital as Initial Purchasers, in the refinancing of US$533 million senior secured notes issued by Aeropuertos Dominicanos Siglo XXI, S.A. (AERODOM) through a notes offering under Rule 144 A/Reg S and a syndicate loan. The complex deal involved three separate transactions, including a tender offer of the existing 2012 bond issue; the offering of a US$317 million Senior Secured Notes; and a US$216 million Senior Secured Lending Facility by local and international banking institutions.
  • Acting as Dominican counsel to a major US investment bank in the structuring and execution of a senior secured credit financing in an aggregate amount of US$65 million provided to finance the expansion plans of a conglomerate of companies operating in the manufacturing and industrial sector of the Dominican Republic and Puerto Rico. 
  • Acting as Dominican legal counsel to Advent International Corporation and its subsidiaries Advent Airports, B.V. and Latin America Airport Holdings, Ltd., a private fund conglomerate specialized in the acquisition, management and operation of airports, in the sale of all of the shares AERODOM to Vinci Airports, SAS, an international airport operator based in France. 
  • Acting as Dominican counsel to an international power generation company in the structuring and execution of all the finance project documents and contracts for the construction and operation of a renewable energy power generation facility to produce a total output of 50 MW of energy. 
  • Assisting the financial arms of two leading US aircraft manufacturers while structuring, implementing and securing aircraft sales, financing and lease transactions with Dominican-based clients.
  • Helping a major US airline in starting operations to and from the Dominican Republic by assisting in the establishment of a branch in the country, obtaining necessary permits and certificates of exploitation from the general directorate of civil aeronautics, and rendering general advice on regulatory, corporate, tax, contractual and labor matters.
  • Advising a major US airline on a wide variety of civil aviation, corporate and contractual matters, and in complex negotiations with civil aviation authorities and concessionaires.
  • Assisting non-Dominican corporate and individual clients with a variety of real property matters in the Dominican Republic including the drafting and negotiation of real estate purchases, conditional sales, option to purchase, mortgage, easement and lease agreements.
  • Advising non-Dominican companies in agency and distribution issues including the drafting, negotiation and enforcement of agreements under Dominican Agent/Distributor Protection Law No. 173.
  • Providing legal advice to aircraft financial entities to structure, implement and secure aircraft sales, financing and lease transactions with Dominican-based clients.
  • Providing legal advice to banks, private funds and broker dealers on banking and securities regulations regarding structuring and implementing new financial products and services.
