Georgia Mateer
Associate
Georgia Mateer is an associate in our Corporate Practice Group. Georgia has assisted with advising on corporate transactions for clients operating in the energy and natural resources and technology sectors, as well as for investment banks and underwriters. Her experience includes managing legal due diligence and advising domestic and international clients on a range of commercial and corporate matters, such as corporate structuring and restructuring, public and private mergers and acquisitions, equity capital markets and securities regulations.
- Advising Tamboran Resources Corporation, a natural gas exploration company, and Bank of America, on a “market first” merger and securities issuance on the Australian Securities Exchange (ASX), involving:
- A “top-hat” scheme of arrangement in the Federal Court of Australia to redomicile Tamboran Resources Limited to the US, by superimposing an entity newly incorporated in the US state of Delaware, Tamboran Resources Corporation (ASX:TBN), with a market capitalisation of AU$500 million
- An AU$55 million institutional placement and accelerated nonrenounceable pro rata entitlement offer to institutional and retail investors within Australia, New Zealand, the US and the UK (undertaken simultaneously with the scheme of arrangement)
- Its dual listing on the New York Stock Exchange
- Advising Alvo Minerals Limited (ASX:ALV), a critical minerals company listed on the ASX with assets in Brazil, on several capital raisings, including its strategic placement with prominent Brazilian private equity group Ore Investments Ltd.
- Advising Thiess Group, the world’s largest mining services provider based in Australia, on several strategic transactions, including:
- The acquisition by shareholders CIMIC, from Elliot Advisors, of an additional 10% equity interest in Thiess for a purchase price of AU$320 million
- The acquisition from ASX-listed company Metarock Limited of its subsidiary, Pybar Holdings, an underground mining contractor to assist Thiess with its underground mining business and strategy
- A series of bolt-on acquisitions from other private and publicly listed companies
- Advising Singular Health Group Limited (ASX:SHG), a medical technology company developing patient-specific solutions, on several capital raisings and strategic placements.
- Advising Oakley Capital and Equivia Partners on their investment in Webcentral, a leading Australian domain-, hosting- and email provider.
- Assisting an ASX-listed natural gas exploration company on its capital raise of AU$71 million, consisting of a two-tranche placement to new and existing institutional shareholders, a convertible note issue and a share purchase plan.
- Assisting Australian lithium and renewable energy company Controlled Thermal Resources on the successful re-domiciliation of its corporate group to the US via a top-hat scheme of arrangement.
- Assisting the vendor, an organic dry goods business, in a sale and purchase of its inventory and intellectual property assets.
- Assisting with cross-border legal due diligence for a range of acquisitions.
- Assisting with reviewing and preparing commercial agreements and deeds, drafting ASX announcements, and undertaking company secretarial duties.
