Tatjana Misulic’s practice focuses on public and infrastructure finance, specifically finance for multifamily housing, mixed-use and retail development projects, airports, toll road and other mass transit projects, water, sewer and electrical utilities, and higher education facilities.

Tatjana advises clients on a broad range of complex legal, business and strategic issues relating to all aspects of public and infrastructure finance transactions, with expertise in the areas of municipal disclosure, public private partnerships (P3) and green infrastructure finance.

Tatjana has extensive experience with revenue-backed financings secured by system revenues, tolls, income taxes, sales taxes, property taxes, excise taxes, tax increment and special assessments, short-term and long-term general obligation financings, lease-purchase financings, grant anticipation revenue financings and P3 financings.

  • As deputy general counsel, multifamily legal, at a leading provider of mortgage financing in the US, advised the multifamily housing finance group on transactional and regulatory matters related to issuance and restructuring of multifamily loans on its delegated underwriting and servicing (DUS) platform with more than 20 partner lenders, totaling approximately US$70 million annually. Lead counsel for the multifamily affordable housing team on all bond-related matters, including mortgage-backed securities (MBS) exchanges, MBS as tax-exempt bonds (MTEBs), bond credit enhancements, direct placement bonds, custody receipts, forwards, social, sustainable and green bonds, twinning transactions, 9% Low-income Housing Tax Credit (LIHTC) and 4% LIHTC transactions, risk-sharing structures, bifurcated loans and recycled bonds.
  • Advising the District of Columbia Housing Finance Agency with respect to single-family and multifamily housing financings, including The Wharf and the Yards.
  • Serving as bond and underwriter’s counsel on short-term cash collateralized multifamily housing revenue bond transactions for the Ohio Housing Finance Agency, Housing Agency of DeKalb, Georgia, Trumbull Metropolitan Housing Authority, Raleigh Housing Agency, Iowa Housing Authority and City of Indianapolis, Indiana.
  • Counsel on multifamily affordable housing financings for Howard University and the Enterprise Community Loan Fund.
  • Underwriter’s counsel on a refunding of HUD’s public housing capital fund bonds for the Puerto Rico Housing Finance Agency.
  • Advising the Metropolitan Washington Airports Authority as bond counsel in connection with the inaugural bond financing for the US$5.6 billion Dulles Toll Road Project, including establishing a brand-new multimodal, multi-lien indenture for a new credit. Served as underwriter’s counsel on all subsequent bond financings for the Dulles Toll Road Project.
  • Serving as bond counsel or underwriter’s counsel and drafting disclosure for the Metropolitan Washington Airports Authority, the Louisville Regional Airport Authority, Lambert St. Louis International Airport, Atlanta Hartsfield-Jackson International Airport, Burlington, Vermont Airport and other airports in the US.
  • Serving as underwriter’s counsel and drafting disclosure in connection with financings for the District of Columbia Water and Sewer Authority, the Detroit Water and Sewer Department and the Virgin Islands Water and Power Authority, as well as the government of the US Virgin Islands for working capital, capital projects such as the Diageo and Cruzan distilleries, a hospital energy project, a federal highway grant anticipation financing and a tax increment financing.
  • Advising the Washington Convention Center Authority as bond counsel on its financings for the Washington Convention Center and the Marriot Marquee Washington Convention Center Hotel.
  • Serving as underwriter’s counsel and drafting disclosure for the financing of infrastructure improvements for a resort and convention center with the largest indoor water park in the US.
  • Advising the District of Columbia as bond counsel or serving as underwriter’s counsel on numerous general obligation, income tax revenue, project revenue and direct purchase financings for the District of Columbia.
  • Serving as counsel to the borrower on the Capital Beltway HOT Lanes P3 project and serving as underwriter’s counsel and drafting disclosure for a bond component of a toll road P3 project.
  • Serving as underwriter’s counsel and drafting disclosure on transactions involving tax increment/special assessment districts in Pennsylvania and Virginia created to finance public infrastructure in conjunction with residential and/or commercial developments.
  • Serving as counsel to an Eastern European state electrical utility in an international commercial arbitration proceeding before the International Centre for Settlement of Investment Disputes.
