Alina Navarro Melendo
Director
Alina Navarro Melendo is an international lawyer admitted in Germany and Luxembourg, with more than 12 years of experience advising clients in both jurisdictions. Based in our Berlin office, she is a member of the Global Corporate Practice and works closely with Luxembourg local partners to provide clients with comprehensive cross-border legal services.
Her practice covers M&A, corporate law, private equity, finance transactions, restructurings, joint ventures, real estate investments and commercial agreements. Under Luxembourg law, Alina also advises jointly with her co-counsel on finance transactions, including the issuance of legal opinions, and on certain regulatory aspects. She is familiar with complex and international transaction structures, involving several jurisdictions.
Before joining the firm, Alina practiced in Luxembourg at a leading law firm, advising on corporate law, private equity and real estate transactions. She advises clients in German, English, French, Spanish and Russian.
Cross-Border M&A and Corporate Restructurings
- Advising on high-volume M&A transactions and intragroup restructurings, including national and cross-border mergers and conversions under German and Luxembourg law.
- Advising Deutsche Wohnen SE and Vonovia SE on major asset sales to the state of Berlin in connection with the social housing pact, and on further mergers and acquisitions under German and Luxembourg law.
- Advising Rimac Automobili d.o.o. on the establishment of a joint venture with Volkswagen/Porsche, as well as the acquisition of Bugatti Automobiles.
- Advising Ligentia Group on the Luxembourg law aspects of its acquisition of VGL Solid Group.
- Advising the supervisory board of TLG Immobilien on management board and structuring matters in Germany and Luxembourg.
- Advising Kongsberg Automotive on the sale of its Interior Comfort Systems business unit to Lear Corporation.
- Advising Ricardo on the sale of assets of an operating unit in Germany.
- Advising Ricoh Company Ltd. on the acquisition of ColorGATE Digital Output Solutions GmbH.
- Advising Live Nation on acquisitions of German companies in the live events sector and on related restructurings.
- Advising several international hotel groups on acquisitions and restructurings of German subsidiaries.
- Advising the shareholders of a German edtech start-up on the sale to a UK private equity fund.
- Advising Kiloutou (in French) on acquisitions and mergers of German companies in the construction equipment rental sector.
- Advising GMV Innovating Solutions SL (in Spanish) on acquisitions in the European space technology sector and on corporate matters in Germany.
- Advising a UK-based insurance company on the sale of a Turkish subsidiary to a German buyer under German law.
- Advising German, Spanish and UK investors and financial institutions on financing and refinancing transactions under Luxembourg law (facility agreements, security documents, issuance of legal opinions and corporate structuring).
- Representing US- and UK-based clients on investments, divestments, joint ventures and management incentive plans in Luxembourg, including regulatory investment fund aspects.
