Alina Navarro Melendo is an international lawyer admitted to practice in Germany and Luxembourg and is a member of the Global Corporate Practice based in our Berlin office. Alina has multijurisdictional experience and advises national and international clients in both jurisdictions on M&A transactions, corporate law, private equity, corporate finance and commercial law matters.

Her particular expertise covers advising companies on national and cross-border transactions, corporate restructurings, real estate investments, financings, joint ventures and commercial agreements.

Prior to joining the firm, Alina worked for several years as an associate in corporate law, private equity and real estate investments in a major law firm in Luxembourg. In addition to advising German- and English-speaking clients, she is particularly experienced in advising French-, Spanish- and Russian-speaking clients on their business activities in Germany and Luxembourg.

  • Advising – under German and Luxembourg law – Rimac Automobili d.o.o., a Croatian electric hypercar manufacturer, on the establishment of a joint venture with Volkswagen/Porsche and the acquisition of Bugatti Automobiles.
  • Advising Kongsberg Automotive on the sale of its Interior Comfort Systems business unit to Lear Corporation.
  • Advising Ricardo, an internationally active automotive supplier, on the sale of its assets related to an operating unit in Germany.
  • Advising Live Nation, a leading entertainment group, on various transactions concerning acquisition of German companies organising festivals and managing artists performances.
  • Advising Ligentia Group, a global tech-enabled supply chain manager, on its acquisition of VGL Solid Group with regard to all Luxembourg law related aspects of the transaction.
  • Advising – partially in the French language – Kiloutou, a French rental company of construction equipment, on the acquisition and mergers of various German companies in the field of working platform rental.
  • Advising – partially in the Spanish language – the Spanish technology group GMV Innovating Solutions SL in connection with the acquisition of a leading company in the field of space technology in Germany and France, as well as on various corporate matters and investments in German companies.
  • Advising Deutsche Wohnen SE and Vonovia SE on the sale of assets and residential housing companies to the state of Berlin in connection with the pact for the future of social housing.
  • Advising Deutsche Wohnen SE under German and Luxembourg law in connection with, inter alia:
    • Sale of 6,380 residential units and 38 commercial units in West Germany to LEG Immobilien AG
    • Acquisition of GETEC Media
    • Acquisition of the Epicure portfolio by way of a complex international share purchase
    • Co-investment agreements with minority shareholders (RETT blocker) in German and international stock corporations
  • Advising the supervisory board of TLG Immobilien on management board matters and general structuring matters in Germany and Luxembourg.
  • Advising Ricoh Company Ltd, a leading Japanese manufacturer of digital office communication systems, on its acquisition of ColorGATE Digital Output Solutions GmbH, a leading software provider in the printing industry.
  • Advising German, Spanish and UK investors and financial institutions on various financing and re-financing transactions under Luxembourg law, including preparation of security documents, legal opinions and setting up of Luxembourg corporate structures.
  • Advising several international hotel groups with regard to acquisitions and restructuring of their respective German subsidiaries.
  • Advising the shareholders of a technology-based startup in the education sector, with locations in major German cities, on the sale of the German entity to a UK-based private equity fund.
  • Representing US and UK private equity funds on investments, divestments, joint venture structures and implementation of management incentive plans in Germany and Luxembourg.
  • Advising various clients on intragroup restructurings, including national mergers, cross-border mergers and conversions under German and Luxembourg law.
