Alina Navarro Melendo is an associate in the Global Corporate Practice based in our Berlin office. Alina has multijurisdictional experience and advises national and international clients on M&A transactions, corporate law and commercial law matters.

Her particular expertise covers advising companies on national and cross-border transactions, corporate restructurings, real estate investments, financings, joint ventures and commercial dispute resolutions. Alina is admitted to practice in Germany and Luxembourg and advises clients in both jurisdictions.

Prior to joining the firm, Alina worked for several years as an associate in corporate law, private equity and real estate investments in a major law firm in Luxembourg. In addition to advising German and English-speaking clients, she is particularly experienced in advising French, Spanish and Russian clients on their business activities in connection with cross-border transactions.

  • Advising a leading German manufacturer of high-end domestic appliances and commercial equipment on the acquisition of an Italian group of companies manufacturing and distributing devices for cleaning, disinfection and sterilisation in the medical, laboratory and pharmaceutical industry.
  • Providing counsel to Russian-speaking investors under German and Luxembourg law on their real estate-related business activities and commercial matters.
  • Advising a major German real estate company under German, and partially Luxembourg, law with respect to several acquisitions of real estate portfolios in Berlin by way of share purchase deals and a sale of various residential and commercial units in West Germany by way of an asset deal.
  • Advising a leading Japanese manufacturer of digital office communication systems on the acquisition of a German software and technology company.
  • Providing counsel to a Spanish company in connection with the acquisition and merger of leading companies in the sector of space operations in Germany and France.
  • Advising a French rental company of construction equipment on the merger and acquisition of companies, as well as assets, in Germany.
  • Advising a leading Latvian manufacturer of lace, elastic knitted fabric and ribbons on the acquisition of a Swiss parent company of a lingerie group based in Germany.
  • Advising a major German automotive supplier with regard to the sale of its assets related to an operating unit in Germany.
  • Representing a German bread and bakery manufacturer in major cartel damages litigations.
  • Advising a UK-based company on a merger between leading providers of high-performance polymer solutions.
  • Representing an international hotel group in a corporate restructuring and in connection with an IPO of its Croatian subsidiary.
  • Advising a pharmaceutical company operating in 35 countries with regard to corporate restructuring in Luxembourg and setting-up of a joint venture with a major private equity fund.
  • Representing US and UK private equity funds on investments, divestments and joint venture structures in Germany and Luxembourg.
  • Advising various clients on intra-group restructurings under the German Transformation Act, including mergers, cross-border mergers, conversions and hive-downs.
  • Advising listed companies with regard to the preparation of annual general meetings and advising management boards and supervisory boards of listed companies on matters related to contracts and organisation.
