Jakub Němeček
Associate
Jakub Němeček is an associate in the Corporate Practice Group. His experience covers corporate structuring and restructurings, domestic and multijurisdictional transactions.
Jakub has assisted clients from various sectors, including real estate, manufacturing and IT. He has also advised clients in relation to compliance related matters, such as beneficial owners’ registrations or environmental, social and governance (ESG).
He is regularly involved in due diligence reviews, drafting of corporate and transaction documents, or in matters relating to EU regulations. Jakub has also been a team member in numerous court cases and international dispute resolutions.
- Advising on corporate reorganisations, sales and acquisitions in the Czech Republic:
- Advising a global packaging company on its acquisition of a packaging plant in the Czech Republic from a Russian entity, after international sanctions had been imposed.
- Assisting a major real estate developer and investor during corporate reorganisation and acquisition of a shopping mall.
- Representing an international digital solutions provider company in its expansion of its activities to the Czech market, resulting in acquisition of a server and web hosting company.
- Advising a leading private equity firm operating in the CE region on its acquisition of an automotive company specialising in the manufacturing of carbon parts for major car manufacturers.
- Assisting the world’s leading live entertainment company in strengthening its position in the Czech market.
- Assisting with corporate restructurings and establishment of businesses:
- Assisting a global tech company with the difficult carve-out and subsequent sale of the company.
- Assisting an endowment fund in the changing of its legal form.
- Assisting an international software security company with establishment of a subsidiary in the Czech Republic.
- Assisting clients with the ultimate beneficial owners’ registrations and related compliance matters.
- Participating in due diligence reviews of various entities.
- Assisting with preparation of various corporate documents, such as articles of association and shareholders’ resolutions, as well as assisting in the registration of companies and branches.
- Assisting in investigations of potential violations of AML regulations and economic sanctions.
