Blair is a Wonnarua man from the Koorie language group and a director in our Corporate Practice Group. He advises clients on corporate and commercial-related transactions, focusing on mid-market corporate advisory and mergers and acquisitions.

Blair acts for clients (including listed and unlisted entities, incorporated associations, insolvency professionals and individuals) in relation to corporate and commercial related matters.

Blair works closely with the team at Indigenous Business Australia and regularly provides advice to Aboriginal enterprises and businesses of all sizes. He is involved with Black Coffee Western Australia, the Wirrpanda Foundation and the Wirrpanda Corporation, and is a director of Enterprise Learning Projects.

Blair was named as the winner of the Mergers & Acquisitions category at the Lawyer’s Weekly 30 Under 30 Awards 2021.

  • Transactional matters (business, asset and share sales/acquisitions).
  • Drafting and negotiating various commercial agreements, including sale/acquisition agreements, settlement deeds, confidentiality agreements, trust deeds, company constitutions, partnership agreements and shareholder agreements.
  • Drafting of, and variation to, various discretionary trust deeds and unit trust deeds (in both the private wealth and estate planning context, as well as a corporate context).
  • Coordination of due diligence enquiries and compilation of transaction-specific and non-transaction-specific due diligence reports.
  • Drafting and verification of prospectuses and other offer documents, including information memorandums and product disclosure statements.
  • Analysing and reviewing project contracts and recommending action items for material issues.
  • General commercial/operational regulatory advice.
  • Drafting and negotiating outsource agreements, software as a service agreements, licence agreements, deeds of agreement, distribution agreements, services agreements, offtake agreements, lease and leaseback agreements, agency agreements and referral agreements.
  • Company secretarial/corporate governance, including ASIC and ASX compliance.

Mergers and Acquisitions

  • Advising IDOM Inc. on the sale of its Australian automotive operations to a consortium of managers and dealer principals, in a management buyout valued north of AU$150 million.
  • The sale of Roy Hill Station (being a pastoral lease and a parcel of freehold land known as “Roy Hill Station”) to Gina Rinehart’s Roy Hill Iron Ore Pty Ltd. The transaction included the sale of approximately 6,000 head of cattle, as well as other pastoral equipment.
  • The purchase of the business and the assets of “Midland Brick” (a major brick works business in Perth, Western Australia) from the Boral Group.
  • The sale of “Midland Brick” (a major brick works business in Perth, Western Australia) to BGC.
  • The sale of Australian Valve Group Pty Ltd (a designer and distributor of heating and control valves in Australia) to a subsidiary of US-based Watts Water Technologies, Inc.
  • Acting for ASX listed Vortiv Limited in relation to the sale of its main undertaking, being its subsidiaries, Cloudten Pty Ltd and Decipher Works Pty Ltd (both cybersecurity businesses).
  • Acted on the share sale of Comsec TR Pty Ltd to Telio Communications Australia Pty Ltd.
  • Acted on the share and asset acquisition of the Andrews and Wallis Motor Group by IDOM Automotive Group Pty Ltd for circa AU$80 million.
  • Acted on the share sale of Westminster Insurance Broking to Coverforce.
  • Acted for Xodus Group Pty Ltd (a subsidiary of Subsea 7) on its acquisition of Green Light Environment Pty Ltd.
  • Acted for ASX-listed Goldfields Money Limited on its AU$125 million merger with Finsure Holdings Limited.
  • Acted for ASX-listed Goldfields Money Limited in relation to the AU$27 million takeover offer made by Firstmac Holdings Limited.
  • Acted for Barrick Gold on the first solvent reconstructions in Western Australia (via a scheme of arrangement) in three of Barrick Gold’s AU$700 million+ corporate reorganisations.
  • Advising on the sale of West Australian utility contractor UrbanGrid Australia to Downer Engineering.
  • Advising BGC in relation to its acquisition of West Australian mining project supplier Diab Engineering.
  • Advising bus transport, charter and tour company Go West on its acquisition by ASX listed SeaLink Travel Group Limited.

Project Financing and Capital Markets

  • Advised on the AU$6 million IPO and ASX listing of medical imaging software developer, Singular Health Group Ltd.
  • Advising Atrum Coal Limited on its non-renounceable 2018 entitlement issue.
  • Advising Pioneer Credit in relation to its AU$40 million medium term note issue book build.
