Rebecca Terrace is a senior associate in the Restructuring & Insolvency Practice Group. Her experience extends to a wide variety of commercial sectors, including retail, leisure, energy and natural resources, project finance and real estate, and includes advising office holders, turnaround directors, financial institutions, creditors and distressed companies on formal insolvency procedures, including administration, liquidation and receivership, as well as advising both lenders and borrowers in relation to the restructuring and refinancing of distressed facilities. Rebecca also has experience acting for both lenders and borrows in large multijurisdictional finance transactions.

  • Advising the administrators in a special education administration and subsequent liquidation.
  • Advising the purported liquidator of a defective MVL, including an application to court to rectify the appointment.
  • Advising the lender in a pre-pack administration of a multijurisdictional technology company.
  • Undertaking a security review and preparing an enforcement strategy relating to multiple facilities of a hotel group.
  • Advising a bespoke lender, whose UBO is acting by administrators, in relation to various litigation funding mandates, equity investments and cross-border litigation matters.
  • Preparing various funding agreements and arrangements for the purpose of funding administrations, liquidations and litigation.
  • Undertaking various acquisitions out of insolvency, including the share purchase of a metals business in administration, the asset acquisition of a commercial retailer in liquidation and the share purchase of an energy company.
  • Advising administrators, liquidators and receivers on their appointment and the disposal of assets, as well as providing ongoing advice during the course of the insolvency.
  • Undertaking various contentious and non-contentious settlement negotiations and documenting the same.
  • Advising distressed companies and their directors.
  • Advising lenders and borrowers in respect of new lend finance and security packages.
  • Advising lenders on the appointment of IPs and realisation of assets.
  • Advising turnaround directors of subsidiaries in the Lehman Brothers group.

  • Acting for borrowers and lenders in multijurisdictional real estate finance transactions.
  • Acting for the borrower in a long-running commodity financing transaction.
  • Acting for the lender in the purchase of a large, distressed shipping portfolio.
