Evan Toebbe is a partner in the global Corporate and Financial Services Practices. Evan focuses his practice on mergers and acquisitions and has completed numerous complex domestic and cross-border transactions on behalf of both public and private clients. Evan represents both strategic buyers/sellers, as well as sophisticated private equity firms (both in platform and add-on transactions). In the last few years, Evan has advised clients on transactions valued well into the billions of dollars. In addition, Evan advises clients on Securities and Exchange Commission compliance, capital markets matters, corporate governance and general corporate matters.

Prior to joining the firm, Evan worked with the in-house legal department of a Fortune 500 corporation and in the US District Court.

Evan graduated as the valedictorian from the University of Cincinnati Law School and serves on the Board of Directors of the YMCA, R.C. Durr branch, as well as the Grow Pro Bono Partnership of Ohio advisory council.

Evan has consistently been recognized in Best Lawyers: Ones to Watch in America and as an Ohio Super Lawyer by Thomson Reuters.

  • Counseling public companies in SEC compliance and reporting, including advising on the preparation and filing of annual meeting materials, registration statements, and current and period reports.
  • Advising leading financial institutions, corporations and underwriters in capital market transactions, including public offerings and private placements of numerous forms of equity, debt and hybrid securities.
  • Advising public and private companies on various corporate governance matters, legal compliance issues and industry best practices.
  • Advising companies on the use and amendment of credit facilities in connection with the funding of business operations and M&A activity.
