Michael Trivisonno advises public companies, private equity firms, other privately-held businesses and business founders through merger and acquisition transactions, divestiture transactions and a wide range of corporate and general business matters. His depth of experience allows him to anticipate challenges, mitigate risks and drive successful outcomes for his clients.
Mike has led complex, multijurisdictional transactions, representing companies, private equity firms and business founders in acquisitions, as well as divestitures across numerous industries, including technology, healthcare, sports and entertainment, industrials, fintech and business services.
Beyond M&A, Mike provides counsel to public and private companies with respect to a wide variety of general corporate and business matters, including commercial contracts, global and domestic restructurings, equity holder and governance agreements, corporate governance matters and cash repatriations. Mike also represents athletes and entertainers in complex business matters, including commercial contracts, minority investments and Name, Image and Likeness (NIL) matters.
Mike currently co-heads the Board of the American Lung Association’s Celebrity Golf Tournament of Cleveland. He is also actively involved with various charities and organizations in Greater Cleveland, including Cleveland Clinic Children’s, St. Mary’s Church and Lake Humane Society.
- Advised Xalient (a portfolio company of Volpi Capital), in connection with its acquisition of Integral Partners, a digital identity consulting, advisory and managed services firm.
- Advised The Procter & Gamble Company in numerous acquisitions, including, the acquisition of Mielle Organics, a provider of textured hair care products; and the acquisition of Ouai, a provider of prestige hair care products.
- Advised a multinational tire and building products manufacturer in several cross-border carve-out dispositions of multibillion-dollar business units to strategic and private equity buyers.
- Advised Pine Island Capital Partners in platform and add-on acquisition transactions.
- Advised Commify Limited (a portfolio company of ECI Partners), in connection with its acquisition of Text Request, a business texting platform.
- Advised Clinigen Limited (a portfolio company of Triton Partners), in connection with numerous acquisitions of pharmaceutical services companies, including Ascenian Consulting.
- Advised numerous other private equity firms in the acquisition and disposition of platform and add-on investments.
- Advised LMAX Exchange Group in connection with acquisitions of FinTech businesses, including its acquisition of FX HedgePool and Curex’s FX business.
- Advised The Timken Company in numerous acquisitions and dispositions, including its acquisition of Spinea, s.r.o., a European technology leader and manufacturer of highly engineered reduction gears and actuator, as well as in the disposition of its aerospace drive systems business.
- Advised Cedar Fair in its acquisition of various Schlitterbahn amusement parks.
- Advised a Cleveland-based manufacturer of commercial and residential water treatment systems in several acquisitions of under US$5 million.
- Advised the founders of a Cleveland-based cloud voice and network solutions business in the disposition of their business to a private equity buyer.
- Advised public and private companies across numerous industry groups with respect to drafting and negotiating complex commercial agreements, operating agreements, joint development agreements and joint venture agreements, including in the industrials, food and beverage, utilities, aviation and technology industries.
- Advised family offices and high net worth individuals in connection with minority investments and general business matters.
