Michael (“Mike”) Trivisonno advises public companies, private equity firms and other privately held businesses on mergers and acquisitions and a wide range of corporate and general business matters.

Mike has particular experience representing companies and private equity firms in complex multijurisdictional acquisition and divestiture transactions. He has led merger and acquisition transactions across numerous industry groups, including for The Procter & Gamble Company, Pine Island Capital, Timken and Cedar Fair.

Mike also has vast experience representing public and private companies with respect to global and domestic restructurings and cash repatriations, drafting and negotiating commercial contracts and general corporate and corporate governance matters.

Mike currently serves on the board of the Cleveland Chapter of the American Lung Association and co-heads the Management Committee of the American Lung Association’s Celebrity Golf Tournament of Cleveland. He is also a member of the Cleveland Bridge Builders Class of 2023.

  • Advised The Procter & Gamble Company in numerous acquisitions, including, without limitation, the following:
    • The acquisition of Mielle Organics, a provider of textured hair care products.
    • The acquisition of Ouai, a provider of prestige hair care products.
  • Advised a multinational tire and building products manufacturer in several cross-border carve-out dispositions of multibillion-dollar business units to strategic and private equity buyers.
  • Advised Pine Island Capital Partners in platform and add-on acquisition transactions.
  • Advised numerous private equity funds in the acquisition and disposition of platform and add-on investments.
  • Advised The Timken Company in its acquisition of Spinea, s.r.o., a European technology leader and manufacturer of highly engineered reduction gears and actuators.
  • Advised The Timken Company in the disposition of its aerospace drive systems business.
  • Advised Cedar Fair in its acquisition of various Schlitterbahn amusement parks.
  • Advised a Cleveland-based manufacturer of commercial and residential water treatment systems in several acquisitions of under US$5 million.
  • Advised the founders of a Cleveland-based cloud voice and network solutions business in the disposition of their business to a private equity buyer.
  • Advised public and private companies across numerous industry groups with respect to drafting and negotiating complex commercial agreements, operating agreements, joint development agreements and joint venture agreements, including in the industrials, food and beverage, utilities, aviation and technology industries.
  • Advised public and private companies across various industry groups with respect to global and domestic reorganizations, cash repatriations and corporate governance matters.
