Adam Versaci acts for listed and private companies operating across a broad spectrum of industry sectors on domestic and cross-border mergers and acquisitions (M&A), corporate governance and commercial contracting. Adam also advises on financing transactions, fintech regulation and other capital raising activities.

Before joining our team, Adam practiced at an Australian law firm and spent a period of time practicing with a corporate law firm in the Cayman Islands, where Adam advised on cross-border M&A, corporate restructuring and financing deals. Prior to qualifying as a lawyer, Adam held several commercial roles where he gained substantial experience negotiating and managing procurement contracts.

  • Advising on various corporate actions, including private and public M&A, De-SPAC transactions, general corporate advisory and corporate restructuring.
  • Acting on behalf of Aboriginal corporations in relation to business acquisitions, commercial contracting and corporate governance.
  • Advising banks and other financial institutions in relation to fund and traditional finance facilities, asset financing transactions and security.
  • Preparing legal opinions in relation to fund financing transactions and corporate lending.
  • Advising clients in the technology sector with respect to cryptocurrency transactions, token offerings, crypto and other digital asset storage platforms, as well as assisting with corporate and regulatory advisory.
  • Drafting simple agreements for future equity (SAFEs) and simple agreements for future tokens (SAFTs), warrant agreements and startup seed financing transaction documents.
  • Assisting in establishing and creating captive insurance companies in the Cayman Islands, including preparing incorporation documentation, and board and shareholder documents, as well as regulatory compliance advisory.
  • Drafting a wide range of corporate legal agreements, including share purchase and sale agreements, asset purchase and sale agreements, board and shareholder resolutions, nondisclosure agreements (NDAs), employee share plans and other corporate transactional agreements.
  • Preparing and drafting advice to clients on corporate governance and other regulatory matters.
