Senior Practice Development Lawyer
Nina Driver is the senior practice development lawyer and solicitor in the equity capital markets (ECM) team within our UK Corporate Practice Group, providing national and global support.
Nina’s experience encompasses initial public offerings (IPOs) and secondary fundraisings on the Alternative Investment Market (AIM) and the main market, public company M&A (including takeovers) and private company M&A.
Nina advises companies and financial intermediaries on the UK Listing Rules, Disclosure Guidance and Transparency Rules, UK Corporate Governance Code, Public Offers and Admissions to Trading Regulations, AIM Rules and the Takeover Code.
Nina is responsible for ensuring her colleagues within the ECM team and elsewhere in the firm are kept informed of new developments in ECM legislation and practice. Nina also presents and organises training sessions and seminars for the ECM team and other colleagues within the firm.
Nina presents and organises “teach-in” sessions for potential issuers, board members, general counsel and executive teams at listed companies, potential bidders (including private equity houses) and financial intermediaries on a variety of matters including initial public offering (IPO) readiness, takeover defence scenario planning, directors’ duties, continuing obligations (including the UK Market Abuse Regime and non-financial reporting), the new prospectus regime, financial promotions, step-ups to the main market and takeover defence scenario planning.
Nina has been a contributor to the annual LexisNexis “Trends in UK Capital Markets Report” from 2021 to 2024, and also the forthcoming 2025 report.
During her career, Nina completed a full-time secondment to Helios Properties plc and a part-time secondment to Barclays Bank plc.
