• Advising a leading aircraft company on its establishment of a foreign-invested joint venture company in China (the project value is around US$30 million). Assisting in drafting and negotiating transaction documents, as well as providing legal opinions on cross-border investment matters.

• Advising an Israel-based manufacturer of telecommunications equipment on the sale of equity interest in its People’s Republic of China (PRC) subsidiary. Assisting in drafting and negotiating an equity transfer agreement, an intellectual property (IP) licence agreement and other transaction documents, as well as providing legal opinions on various transaction matters.

• Counselling a NYSE-listed global leader in 3D printing technology with respect to various corporate and commercial matters in China.

• Counselling an Israel-based top tyre company on the purchase of certain manufacture materials and assets in China from a world-leading polymers company, including reviewing the assets purchase agreement and advising on employment transfer-related issues.

• Advising a worldwide lighter design and manufacturing company with respect to various corporate and commercial matters in China.

• Assisting an American top tyre company with its sale of registered trademark in China, including drafting and reviewing the trademark transfer agreement.

• Advising a Hong Kong-based investment company on the acquisition of a corporate group in Mainland China. Coordinated with foreign lawyers in various countries, performed due diligence on 11 domestic and offshore subsidiaries and 43 projects of the target, and drafted capital increase agreements and shareholder agreements.

• Advising a European airport shuttle bus manufacturer on the establishment of an equity joint venture with a Chinese partner, including preparation of the joint venture contract and its ancillary agreements.

• Advising a US-based audio technologies company with respect to various corporate and commercial matters in China, including registration of branches and termination of employees.

• Advising a US-based software company with respect to various corporate and commercial matters in China.

• Counselling a reputable telecommunications company on employment transfer, including drafting the employment transfer plan, preparing the transfer agreement and advising on legal issues related to transfer procedures.

• Advising a European olive oil company with respect to various corporate and commercial matters in China, including drafting and reviewing the distribution agreements.

• Counselling a number of multinational companies from the US, the UK and the EU on employment-related matters in China, including advising on possible employment termination solutions and employment transfer steps, as well as assisting in renewal of employment contracts.

• Advising several multinational companies on cross-border data transfers from within China, including drafting and reviewing data transfer agreements and advising on permissible channels for transferring PRC personal data abroad.

ODI, M&A and Other Projects

• Advising a top 500 Chinese energy company on the acquisition of overseas hydropower projects. Coordinated due diligence work and prepared transaction documents.

• Advising a large Chinese state-owned company in setting up a joint venture company (JVC) in Vietnam. Reviewed the JVC agreements, and assisted in formulating the registration plan and negotiating with the local partner.

• Advising one of the largest Chinese power generation companies in preparing a bidding offer for the acquisition of overseas photovoltaic projects. Reviewed and commented on the seller’s version of the share purchase agreement (SPA).

• Advising a PRC-listed company on its divesture of overseas assets. Drafted the share transfer agreement and termination agreements regarding existing cooperation projects.

• Advising a bike-sharing platform on setting up overseas subsidiaries. Coordinated with foreign lawyers in various countries, prepared registration documents and assisted with domestic and overseas notarization issues.

• Advising a PRC-listed company on the acquisition of a yacht sales company in Hong Kong (the best yacht sales group in Asia Pacific). Performed legal due diligence, drafted transaction documents and negotiated with the seller.

• Advising a Chinese national-wide aviation company in reviewing and negotiating investment contracts (including capital increasing agreements and shareholder agreements) with potential investors.

• Advising a large assets management company on several equity investment projects in energy, healthcare, real estate and other industrial areas.

• Advising several startup companies on reviewing and negotiating investment contracts (including capital increasing agreements and shareholder agreements) with potential investors.
