Sam Baines is an associate in the firm’s Restructuring & Insolvency Practice Group, based in the Manchester office.

Sam has experience providing advice to a broad range of clients in the context of corporate insolvency and other financially distressed situations, including advising insolvency practitioners both pre- and post-appointment, advising creditors and stakeholders in evaluation and pursuit of all kinds of enforcement options and advising boards of directors in turnaround and insolvency scenarios.

Sam’s practice focuses on advisory and transactional elements of corporate insolvency and turnaround situations, including both corporate and property-oriented insolvencies.

Experience

  • Advising administrators on the insolvency of a peer-to-peer lending group, including related court applications in respect of administrators’ fees and expenses.

  • Advising administrators of a property development company on asset realisation strategy in relation to an aborted development, including associated court applications to achieve realisation.

  • Providing early-stage advice to secured lenders in relation to their security and enforcement options, as well as associated implementation.

  • Advising insolvency practitioners across a range of matters both pre- and post-appointment, including accelerated marketing processes, pre-packaged sale and asset disposals and other matters arising in the course of their appointments.

  • Providing advice to corporates facing financial distress as to directors’ duties and antecedent transactions in the context of prospective formal insolvency.
