Whistleblower complaints to federal agencies and private retaliation litigation are on the rise in light of the recent enhancements to the Sarbanes-Oxley Act and the whistleblower incentives and protections established by the Dodd-Frank Wall Street Reform and Consumer Protection Act. What is “protected activity,” who is protected and which employers are subject to the various whistleblower laws are questions that continue to be fine-tuned by federal agencies and the courts.

In addition to the legal issues, private and public companies continue to struggle with best practices regarding internal reporting procedures, investigations of complaints and treatment of whistleblowers. The failure to have proper policies and procedures in place can cause employees to go outside the company (i.e., to federal regulators) to report allegations or open the employer to costly retaliation lawsuits.
