Jaime Daddona counsels public and privately held companies and focuses her practice on business and finance transactions, including domestic and cross-border mergers and acquisitions, private equity investment, corporate governance matters, stockholder relations matters, securities offerings and restructurings.
Jaime has a diverse transactional and corporate counseling practice representing clients in strategic transactions, working closely with boards of directors and senior managers on governance matters, managing debt and equity investments, and drafting and negotiating supply, distribution and other commercial agreements. Jaime's transactions regularly involve cross-border, multi-disciplinary teams that leverage the strengths of our worldwide platform.
- Representing a global alternative asset manager with more than US$250 billion under management in multinational acquisitions, divestitures, and joint ventures.
- Representing a US manufacturer of solar panels and power plants in various cross-border transactions.
- Representing a Spanish company and its subsidiaries in negotiating cross-border commercial agreements relating to solar panel structures and towers.
- Representing the second largest for-profit emergency services organization in the US on various M&A transactions, public company securities compliance matters and corporate governance.
- Representing a stormwater management solutions provider in various debt and equity financings, public offerings and ’34 Act compliance.
- Representing a pharmaceutical group purchasing organization in a US$395 million merger with a newly formed company controlled by a private equity firm.
- Representing an American food manufacturer in its US$280 million asset disposition of selected food product lines and international joint ventures.
- Representing a private equity firm in a US$142 million disposition of a designer and marketer of fitness, travel and gift products.
- Representing a developer, manufacturer and supplier of soup bases and flavor systems for the international food trade and service industries in its sale of stock and real property to a private equity firm.
- Representing one of the world’s largest domain name registrars in general corporate matters and acquisition counseling, and advising the board of directors on governance matters.
- Representing a public cosmetics company in matters involving corporate governance, securities reporting and compliance issues.
- Representing a German company in the formation of a technology joint venture with the owner of wind and solar farms in the US.
- Representing a France-based cognac maker and exporter in its acquisition of a US-based marketing and distribution firm.
