Nathan Menon is a director in the firm’s London office. Nathan advises on all aspects of structured finance, including securitisations, forward flow transactions and nonperforming loan sales, as well as acquisition transactions. He is particularly experienced in advising servicers on public securitisation mandates, and first-time market participants on a range of structured finance matters, including forward flow transactions and note programme issuances. He also advises on commercial mortgage-backed securitisations and social impact finance transactions, such as development impact bond programmes.

Nathan is also a key member of the firm’s India Practice, where he advises clients based in India, as well as international clients doing business in India, on a variety of transactional matters, including restructurings, enforcements, loan sales and external commercial borrowing (ECB) transactions. Client feedback conducted by the India Business Law Journal has praised Nathan as being “a very good listener who understands the requirements and provides appropriate solutions”.

Previously, Nathan has undertaken client secondments to the UK retail banking and debt solutions teams at a financial and corporate services company and to an asset management firm specialising in European credit.

Nathan has been quoted in many publications, including Structured Credit Investor and Investors’ Chronicle, discussing topics such as forward flow transactions, environmental, social and governance (ESG) finance and structured finance in the Indian market.

  • Advising a UK-based digital challenger bank on its first mortgage forward flow transaction, with mortgages originated by a UK mortgage originator up to a value of £480 million.
  • Managing all residential mortgage-backed securitisation (RMBS) mandates since 2017 for a UK-based mortgage servicer, totalling seven public transactions, including (i) the first RMBS issued in the London market after the onset of the COVID-19 pandemic and (ii) its first mandates with several international investment banks and hedge funds.
  • Acting for a US investment bank on its acquisition of a US$638 million portfolio of nonperforming shipping loans from a Greek bank, structured under the Greek securitisation regulation.
  • Advising a US hedge fund on a bid for, and the subsequent acquisition of, a €850 million portfolio of 11 nonperforming loans, secured on European real estate assets. In addition, acted for the same fund in connection with a financing and restructuring of the same portfolio.
  • Leading a global team in assisting a large Indian infrastructure company on the restructuring and upsize of US$300 million subordinated convertible bonds in relation to an Indian composite scheme of amalgamation and arrangement.
  • Advising a large Indian infrastructure company on its issuance of €330 million subordinated convertible bonds, subscribed for by its minority shareholder.
  • Advising the trustee, for example, on numerous securitisation transactions, including many series of Swiss auto lease securitisations.
  • Assisting a corporate services provider on various legacy CMBS transactions dating from circa 2004 to 2008, including amendments, restructurings and litigation.
