Michael Washbush is an associate in the Corporate Practice Group, where he focuses on the representation of corporate and institutional clients on matters such as merger and acquisition transactions, venture capital transactions and institutional and private equity financing, as well as general corporate governance and developing and executing complicated strategic plans of corporate reorganizations. Michael is regarded by his team for his exceptional work ethic and drive, as well as his ability to collaborate across channels and offices to create a seamless experience for his colleagues and clients alike.

Prior to joining the firm, Michael was a student lawyer at Michigan Law’s Zell Entrepreneurship Clinic, where he counseled technology startup businesses on organizational matters and intellectual property rights, completed trademark applications and advised NCAA student-athletes on name, image and likeness agreements. While in law school, Michael served as a student senate representative and received a Certificate of Merit award in Civil Procedure.

Prior to law school, Michael worked as a manager for a multinational automotive and clean energy company, where he facilitated resolutions to customer escalations to prevent yield-losses and led his team to set a record number of monthly deliveries, resulting in multimillion-dollar gross sales. In this role, Michael honed his ability to resolve complex disputes, evaluate operational risk and implement strategic solutions, and in turn, developed skills that not only drove measurable business success but also laid a strong foundation for his transition into corporate law. Outside of his professional responsibilities, Michael spends his time mentoring youth as an elementary school basketball coach and as an instructor in a local youth athletics program.

Michael has served as a key team member on a variety of transactions, including:

  • Representing Nationwide Mutual Insurance Company in its US$1.25 billion carveout acquisition of The Allstate Corporation’s employer stop loss business segment.
  • Advising Advanced Drainage Systems, Inc., a multibillion-dollar New York Stock Exchange (NYSE)-listed leading manufacturer of water management solutions, in a series of strategic acquisitions and dispositions, including:
    • US$1 billion carveout acquisition of the water management business of NORMA Group SE, a publicly traded German company.
    • Stock acquisition of Orenco Systems, Inc., a leading manufacturer of advanced onsite septic wastewater treatment products.
    • Asset acquisition of a River Valley Pipe LLC, a Midwestern manufacturer and distributor of high-performance corrugated plastic pipe systems.
    • Multiple strategic divestitures of non-core business units, including the carve-out and sale of ancillary businesses acquired in prior M&A transactions.
  • Advising The Goodyear Tire & Rubber Company in its US$650 million disposition of its chemical business.
  • Advising a multistate coal mining company in a series of asset transactions, including the acquisition of manufacturing and transportation facilities to expand operations, and the disposition of property and equipment to a mineral product manufacturing company.
  • Advising an advanced manufacturer of fire-rated architectural and engineered systems in a series of financings to support capacity expansion and ongoing growth initiatives.
  • Representing a leading packaging solutions provider in its buy-out of two minority investors.
  • Representing a leader in electric vehicle charging stations in a wide range of commercial agreements for both purchase and sale transactions, including for federal and state government programs.
  • Representing one of the largest foreign trading and investment companies in connection with the potential purchase of insurance companies and related investments.
