Briana Whitmore is an associate in the Corporate Practice Group, where she focuses on merger and acquisition transactions, institutional and private equity financing, venture capital transactions, and general corporate governance matters. Bri also assists with Federal Trade Commission (FTC) requests in mergers and acquisitions.

Bri brings a collaborative and detail-oriented approach to her work and is highly valued by her team for her skill in conducting thorough due diligence, ensuring clients receive clear, accurate and well-prepared insights that support confident decision-making.

Prior to joining the firm, Bri worked for one of the world’s largest professional social networking platforms, where she focused on sales operations, data privacy and product development. She also served as a spring intern for Judge Deborah Israel in the District of Columbia Superior Courts, where she prepared pretrial research notes. While in law school, Bri served as the senior projects editor of the Federal Communications Law Journal.

Bri has assisted on a variety of key transactions, including:

  • Representing a publicly traded life sciences company in connection with a warrant repricing and exchange transaction.
  • Advising a publicly traded life sciences company in filing a certificate of amendment to its charter to implement a reverse stock split at a ratio of 1-for-35, which became effective the same day and was intended to consolidate the company’s outstanding shares, reducing the number of shares in circulation while proportionally increasing the share price.
  • Representing a national building materials distributor in its acquisition of substantially all assets of a regional roofing and siding supply company.
  • Advising a national building materials distributor in its acquisition of all of the issued and outstanding shares of capital stock of a regional roofing supply company.
  • Representing a publicly traded biotechnology company in a warrant repricing and exchange transaction.
  • Advising a publicly traded automotive services company in its US$625 million acquisition of a national vehicle maintenance chain.
