About Richard

Richard Shaw is an associate in our Litigation Practice Group who advises on corporate and commercial disputes, as well as regulatory compliance and disputes.

Richard’s disputes and compliance experience includes advising on Australian data privacy, technology and telecommunications regulations; competition and consumer law matters; employment disputes and workplace compliance.

Prior to joining the Litigation team, Richard previously undertook graduate rotations with our Energy & Natural Resources team, where he assisted with energy market regulation and disputes, and our Corporate Practice, where he assisted with mergers and acquisitions and corporate governance matters.

Experience

Disputes and compliance matters

  • Assisting with advice around workplace surveillance issues under New South Wales law, as well as data collection consent regulations.

  • Assisting with advice around the investigation and enforcement powers of various regulators, including the Office of the Australian Information Commissioner (OIAC), the Privacy Commissioner and the Australian Communications and Media Authority (ACMA).

  • Assisting with a multijurisdictional project in relation to the application of telecommunications laws and regulatory frameworks in numerous countries relating to internet-connected vehicles.

  • Assisting with advice in relation to Australia’s remote-sensing and geospatial laws, regulations and guidelines.

  • Assisting with advising a multinational communications technology company on compliance with legislation, regulatory frameworks and industry codes in Australia and Singapore, including in relation to a new mobile service offering.

  • Assisting with advice to a landowner on its contractual and statutory rights under the Telecommunications Act 1997 (Cth) and applicable industry codes in relation to redevelopment works requiring the removal or relocation of carrier facilities and infrastructure.

  • Assisting various employers in relation to general protections claims under the Fair Work Act 2009 (Cth).

  • Assisting with advice around the application of the whistleblower regime under the Corporations Act 2001 (Cth) (Corporations Act) in relation to employment disputes before the Federal Court of Australia, including assisting with preparing the brief to counsel.

  • Assisting with developing compliance training for employers around pay transparency, restraints of trade and duty to prevent sexual harassment in the workplace.

  • Assisting an employer with an analysis of intellectual property rights related to an invention created by an employee during their period of employment.

  • Assisting with advice to a major US sporting organisation on compliance with local laws and regulations in connection with preparing to stage a live sporting event in Australia.

  • Assisting with advice to a US-headquartered entity regarding the potential application of the Competition and Consumer Act 2010 (Cth) in relation to its commercial dealings with counterparties and competitors in Australia.

Energy and natural resources

  • Assisting a regulatory body in relation to:

    • Regulatory proceedings in relation to alleged breaches of local energy market rules by energy generators and retailers

    • A judicial review of its findings that an energy retailer had breached the National Gas Law and National Gas Rules

  • Assisting an electricity retailer with:

    • Reviewing electricity sales agreements and agreements for a virtual power plant project

    • The application of local electricity market rules to its operations

  • Advising a Japanese mining company on the application of the Safeguard Mechanism, Australia’s principal carbon emissions reduction policy, to their joint venture structure.

Corporate

  • Conducting due diligence on acquisitions for domestic and foreign headquartered buyers across a range of industries including mining, software and National Disability Insurance Scheme-related businesses. Work included:

    • Acting for a data analytics software company (as the target) in relation to a friendly off-market takeover bid under the Corporations Act

    • Acting for a US automotive parts manufacturer in acquiring an automotive aftermarket parts supplier operating across Australia and Asia

    • Assisting a UK-based buyer in relation to the application of Australia’s new mandatory merger control regime to its acquisition of an Australian business.

    • Advising on corporate governance matters and Corporations Act compliance including drafting board resolutions, share transfer forms and consents to facilitate corporate transactions.
