Sara Belotti is a partner in our Corporate and Private Equity teams in Italy.
Sara’s expertise covers all types of transactional work in multiple sectors and industries, from “heavy industries” to technology, data driven businesses and artificial intelligence (AI). She has deep experience across private M&A (sell/buy sides), private equity (PE) (advising PE houses and portfolio companies) venture capital (VC) (advising funds in all types of rounds, from Pre-seed to Series D) and reorganisations. On the corporate side, Sara advises a wide range of Italian and global organisations.
In addition to corporate work, Sara also covers the Financial Services Practice for the Italian office. From a banking and finance perspective she has experience in cross-border acquisition/leveraged finance transactions, including the implementation of Italian security package, transfer of project finance facilities, cross-border refinancing and real estate bridge finance.
- Representing a PE-backed Italian group, engaged in the public lighting sector, on its reorganisation in Italy.
- Representing a Turkish multinational group on the potential acquisition of a steel mill located in Italy.
- Representing UK-based, international brand implementation group on the sale of its European businesses to the managers of the group’s Italian subsidiary.
- Representing a PE-backed group, global market and technology leader in custom axial flow fans for HVAC/R and motor cooling applications on its reorganisation in Italy.
- Representing US owners of an Italian soccer Serie B Club on the sale of the club to a US investment company.
- Representing an Italian flexible packaging manufacturer on the acquisition of a Canadian flexible packaging company.
- Representing a US-listed world-renowned performance products manufacturer on the acquisition of an Italian manufacturer of automotive products.
- Representing a global brand and implementation consultancy company on the negotiation of all Italian law aspects of the re-financing of their group indebtedness, including previous acquisition finance facility.
- Representing a Spanish PE fund in its acquisition of an Italian group of companies engaged in providing digital advertising services.
- Representing an Italian VC fund on its bridge financing to a group of companies developing hardware and software platforms for AI, providing technology that integrates a custom dataflow architecture with multicore in-memory computing.
- Representing a growth-focused UK PE fund on the negotiation of all Italian law aspects of the acquisition finance facility and related security package in the context of the acquisition of a European leader in business messaging solutions to local enterprises.
- Representing the shareholders on the sale of the entire capital of an Italian company leader in the Italian HVAC and axial fan market to a PE-backed group, global market and technology leader in custom axial flow fans for HVAC/R and motor cooling applications.
- Representing a UK private debt fund on its real estate bridge financing.
- Representing a digital transformation and cognitive services group on the acquisition of a digital football platform development business from an Italian tech company.
- Representing an Italian VC fund in its involvement as lead investor in the Series A2 round of a group of companies developing hardware and software platforms for AI, providing technology that integrates a custom dataflow architecture with multicore in-memory computing.
- Representing a Spanish Bank on the purchase of a portion of three Italian project finance facility including relevant Italian security package from a French Bank.
- Representing an Italian club deal investments company in its investment in the Series C round of a US-based company operating missions to the International Space Station for customers, including space agencies, companies and individuals.
- Representing a Spanish PE firm on the potential acquisition of an Italian company developing, formulating, producing and marketing cosmetics.
- Representing an Italian VC fund in its involvement as lead investor in the Series A round of a group of companies providing a cloud-based platform offering a variety of application programme interface (API) services and solutions supporting banks and financial institutions.
- Representing the shareholders in the sale of the entire capital of an Italian company leader in Sudoku and other logic puzzles to a PE-backed group, a global leader in puzzles and “braintainment”.
- Representing a US corporate venture fund on the potential Seed investment in an Italian biotech startup focusing on the early detection and monitoring of neurological and neurodegenerative diseases in liquid biopsies.
- Representing a global freight delivery company in its corporate reorganisation in Italy.
- Representing an Italian group engaged in the steel industry in various corporate transactions, such as intercompany demerger, the structuring of a transaction concerning the purchase of an industrial property, and the structuring of a transaction concerning the envisaged incorporation of a group energy service company.
